This CMSL had already been transferred to YMD at the onset of the Nov 2025 spin off. YMD needed the CMSL to run the maritime fund so YMD took Gems along with its CMSL as a major part of the spin off exercise. Those ongoing deals captured under the Gems CMSL such as the Tahan Capital Pte Credits, those fund of funds ... etc are now with YMD. In the spin off Circular, YMD had highlighted that it would take on those non maritime deals (pte credits, fund of funds ... etc) that came with the Gems CMSL but it would not take on new non maritime related deal going forward. YMD had also highlighted that it would not renew these non maritime related partnership deals upon their expiry. YFH will need to apply for a fresh CMSL in order to legally restart the asset and fund mgt operation in SG, as well as to prepare to taking back the Gems non maritime partnership deals upon their expiry.

Back on April 28, 2022, Yangtze River Financial acquired GEM Asset Management Pte. Ltd., a Singapore-based fund management company.  GEM Asset Management is a strictly regulated entity by the Monetary Authority of Singapore (MAS) and holds a formal CMS license. This license allows it to engage in " fund management" and " capital market product trading" in Singapore. Therefore, Yangtze River Financial Holdings Group has already obtained a legal " license" to conduct formal asset management business through its wholly-owned subsidiary, GEM Asset Management, without having to go through the lengthy and highly uncertain MAS license preliminary review process. The real test for Yangtze River Financial now is whether, with this compliant license, it can successfully raise external funds and achieve high returns in the vast ocean of opportunity. |

Given that YZJ Financial management is    still waiting for MAS approval after about 12 months, I would read it as  pending, but taking longer than expected, rather than assuming there is a problem. For YF8, I would keep the expectations realistic:

Yes, the financial fundamentals of YFH have indeed improved noticeably from all fronts since its FY25 update due to stronger RMB and some success in debt recoveries. On the business front, however, there still seems to be little progress with the CML still pendig from MAS and no reported new streams of income to replace the high yield chinese DI (return ~12%pa). The $575m cash seems still sitting idle in cash mgt or mmf earning pathetic ~1% interest. The maritime biz was supposed to replace the DI on a big way but the business was again spin off.  At 60% discount, it is definitely a very deep value/ recovery play due to its strong and solid net cash balance sheet. YFH has a huge cash pile and likely more cash coming in from the net NPL recovery ($228m theorectically fully recoverable after a 66% provision) plus more recycling cash from exiting DI due to the SG:PRC 50:50 and 40/40/20 targets. The key issue of YFH is to find or recruit the Talent(s) to skill at deploying these cash to new attractive investments comparable to the chinese DI or at least the maritime business returns.

The BIG positive for YF8 At around  S$0.22, the market is valuing the company at only about  41% of its 53.21-cent NAV. So you are essentially buying  S$1 of net assets for about S$0.41. The interesting part is that the  NAV is rising while the share price has fallen sharply. YF8 share price was down about 45% YTD as of 12 August.    YF8 is becoming more interesting as a  deep-value/recovery play, rather than a pure earnings-growth stock. The next major catalyst would be continued recovery of the remaining legacy debt  plus evidence that the newly deployed capital is generating higher recurring income. And importantly, this is consistent with what you highlighted earlier:  the S$290.9m FY2025 credit-loss provision is already behind the company, while 1H2026 is showing recoveries and a reversal of allowances.    The three numbers to watch are: 53.21¢ NAV, S$575.4m cash, and S$16.6m recovery/reversal.Those are the strongest positives from the results.

It is RMB1bil @4.5% pa or just ~SGD180mil @4.5%pa, not SGD1bil. So how much impact would this topline gain of $8mil make to the NPAT even if they achieve it ? 70% of this RMB1bil or S$180mil already deployed, meaning S$54mil is still pending for deployment as at 30Jun. The S$575.5mil in the balance sheet less this S$54mil still leaves a eye popping S$521mil cash not doing anything except probably sitting in FD or low yield mmf. It is the same problem we see during VT era, a lot hard cash but dont know how and where to deploy to earn meaningful returns to replace the exiting high yield Chinese DI. And yes, I am as clueless as you and many investors as to why the mgt still so reluctant to allocate a small portioin of its huge cash pile sitting in the pathetic FD or mmf to SBB inspite of the steep 60% discount to reap the arbitrage. The ongoing level and depth of conservativeness in the YFH Mgt really appalled me.

Ya ... agree. Still the same old problem we saw during VT era ... a lot of hard cash but dont know where to deploy to replace the exiting high ~12%pa returm DI, until RenYL came back with the maritime pathway. Now with RenYL out of the picture for good, the mgt seems stung again on where to deploy the existing huge cash pile to generate profits  ....

Ok I think this is the floor price $0.205-$$0.215. However I have enough in term of the position sizing so won?t add. Average price $0.297 without factoring dividends since day 1 and also 95% of my YZJM shares are free. These 2 counters both need time to find their own footing after split and I will give them time. Going forward don?t have to monitor closely and will focus on other counters with and when fresh fund available. Cautiously optimistic but to be frank their performance after split is terrible. First off, YZJF hit the market with $290m credit provision and play investors out who hoping to collect dividend. Then YZJM 1st set of results on its own is a drop of 29% yoy profit. YZJF still hold back in deploying of its cash. They seem only interested in their $1b program that aim at earning 4.5% or above returns. This is pathetic. I think they are waiting for CMS and that will take time and their pressers indicated a 3-year timeline before moving away from large chunks of DI. Market must be laughing at their indicative NAV of $0.53 as they simply don?t do SBB. What?s the problem? You can buy something at 60% off but you don?t act? Yangzijiang Financial H1 profit from continuing operations falls 29% to S$38.3 million
[SINGAPORE] Yangzijiang Financial Holdings : YF8 0%on Wednesday (Aug 12) posted a 29 per cent year-on-year drop in profit from its continuing operations to S$38.3 million for its first half ended Jun 30, from S$53.9 million. Its overall net profit fell 72 per cent over the same period, after its maritime investments business was classified as a discontinued operation following its spinoff and listing as Yangzijiang Maritime Development : 8YZ 0% on Nov 18, 2025. Profit from continuing operations fell 29 per cent to S$38.3 million, compared to S$53.9 million in the previous corresponding period. The group had recorded S$89.6 million in net profit from discontinued operations in H1 FY2025, prior to the maritime unit&rsquo s listing. Total income from continuing operations for H1 FY2026 fell 31 per cent to S$35.5 million, from S$51.5 million in the preceding year. Interest income, the group&rsquo s primary source of revenue, dropped 40 per cent year on year to S$31.2 million from S$52.2 million, mainly attributable to a lower average balance-of-debt investments in China. The drop in income was partially cushioned by a net fair-value gain of S$2.7 million on financial assets and liabilities, reversing a net fair-value loss of S$1.4 million in H1 FY2025. Other income rose to S$1.5 million in H1 from S$350,000, driven by higher trading and commission income. Credit loss allowance reversals rose 27 per cent to S$16.6 million from S$13 million, as the group recovered certain non-performing debt investments and recorded full repayments on other debt holdings. Total expenses rose, with employee compensation increasing 93 per cent to S$2.8 million from S$1.4 million, largely due to one-off performance-based incentive payments recognised by Chinese subsidiaries for non-performing debt recoveries. Earnings per share for the half-year stood at S$0.011, down from S$0.0396 in the year-ago period. No dividend was declared for the half-year, unchanged from the previous corresponding period. Looking ahead, Yangzijiang Financial said its near-term priorities remain the recovery and resolution of its non-performing debt exposures and the disciplined redeployment of recovered capital. The group is focusing on redeploying capital into China&rsquo s new economy sectors, including semiconductors, artificial intelligence, data storage technologies and new energy. Under its one billion yuan (US$148.3 million) programme targeting high-yield opportunities, about 70 per cent had been deployed as at Jun 30. In Singapore, the group is expanding its investment management activities and pursuing a Capital Markets Services licence to develop a fund management business. The counter ended 4.3 per cent or S$0.01 lower at S$0.22 on Wednesday prior to the release of the results. |
