I also have the same questions. Temasek no money already or just want to profit extra 11.4% from Capitaland or ??? I don' t understand the rationale except they said its to increase AUM. What is the point of increasing AUM, more important is profit, earnings, margins and dividend. Look at Ascott, share price go nowhere after many years of increasing AUM until become wolrd biggest hotel reit. Each time increase AUM market sell down. DPU also did not go up, in fact drop due to dilution. Retail are at their mercy when they play card game. Congolmerate and holding companies traditionally are selling at a discount in the market especially in this kind of poor sentiment and increasing risk environment. I am vested. If it goes up I am fine and sell. I tend to think that Capitaland should not make this expensive acquisition at a premium price while its debts is already high. Repeating the story of Ascott.

if    Temasek gets the shares vaued at $3.50 a share. price should go to 3.50 +-  when resumes. which is higher that the 3.27 price before H. |

This is quite straight fwd to understand.
Temasek increases their holdings in Capitaland from 40 % to more than 50%. This is Bullish Point # 1. Temasek gets the shares vaued at $3.50 a share. This is Bullish Point # 2. When Trading Resumes, Capitaland will Gap Up. Easily can shoot up to $3.80 ~ $4.00. |

NTA, is already at a discount.. Now, we issue shares further discount to the NAV but " premium" to the market price.. What' s the impact? It should be further decrease of NAV if i read it correctly. EPS, not sure until there is more clarity..  Anyway, its more of a left to right hand sale.. Not sure how the market will react. Who benefits, is it win-win?

PROPERTY group  CapitaLand is acquiring Temasek' s subsidiary Ascendas-Singbridge (ASB) in a S$11 billion deal aimed at  creating Asia&rsquo s largest diversified real estate group. After the transaction, CapitaLand' s combined total assets under management (AUM) will exceed S$116 billion, and cover asset classes such as logistics/business  parks, industrial, lodging, commercial, retail and residential. In addition, the group will surpass  CapitaLand&rsquo s 2020 AUM target of S$100 billion, putting it among the top 10 real estate investment managers in the world.  Under the terms of the agreement, Temasek will receive S$6 billion, which will be satisfied half in cash and half in new CapitaLand shares, boosting Temasek' s ownership of CapitaLand from around  40.8 per cent to about 51 per cent upon the close of the transaction. The shares will be priced at S$3.50 apiece, representing a premium of 11.3 per cent, or about S$0.36, over CapitaLand&rsquo s one-month volume-weighted average price of S$3.1447. The consideration takes into account the adjusted net asset value of ASB, which  includes the value of its fund management platform and the trading value of its three sponsored listed trusts.  Headquartered in Singapore, ASB&rsquo s business presence spans 11 countries including Singapore, China, India, Australia,  the United Kingdom and the United States. Over 80 per cent of ASB&rsquo s S$23.6 billion AUM is in business spaces.
