the CEO,Charles, only own 33% of both companies and he is taking he proceeds in the form GEO shares at a premium at 40 cents. Majority of the consideration is also paid via 40 cents premium shares, sellers not stupid...if they dun think GEO share price can fly, take for what. |

Just thinking why are they issuing shares at a premium price as part of the payment for this acquisition? If the seller sells at the current price, they will make a loss and the acquisition will no longer by US$127.5m. So they are alluding to the seller to hold onto these shares as the price is likely to rise in the future? The transaction&rsquo s US$127.5 million consideration includes a cash payment of US$23.5 million and an assignment of receivables amounting to around US$18 million. It also includes an issuance of some 275 million ordinary shares of Geo Energy, worth around US$86 million, at a share issuance price of S$0.40 a share &ndash which is a 13 per cent premium above the three-month volume weighted average price of S$0.35 per share. |

Be very careful, I believe some speculators are spreading fears now to get profit. Personally, I do not like this acquisition, but, I also do not like speculators throwing rumours to create fear and cause the investors to suffer more........

You may not aware, after this announcement is made, many panic sellers sold their holding led by the shortists and BBs are happily collecting at cheap prices. The price will rebound after this sell down. Someone added fuel to the fire and frightened the panic sellers into selling at all cost. | ||||

Geo Energy to acquire controlling stakes in two shipping companies for US$127.5 million
Coal miner Geo Energy Resources is expanding its transport and infrastructure presence with plans to invest US$127.5 million to acquire a 51% stake in two shipping companies specialising in commodities logistics.
" The acquisition is synergistic to the group&rsquo s business model, complementing its integrated infrastructure business activities, enhance service offerings and expanding the group&rsquo s customer base across various commodities-related markets in Indonesia," says Geo Energy.
From its core business of coal mining, Geo Energy is now building a 92-km road to haul coal produced from its mines to the coast for export. It plans to lease capacity of this road to other nearby coal mines too.
The two shipping companies are PT Trans Maritim Pratama and PT Bahari Segara Maritim. These two entities together own 27 tugboats and 27 barges with transport capacities ranging from 5,000 tonnes to 10,000 tonnes.
Geo Energy' s executive chairman and CEO Charles Anthonny Melati and his family own shares in TMP.
Geo Energy will pay for the stakes by issuing a combination of shares and cash.
First, the company will issue 275 million shares worth US$86 million at 40 cents each, which is a 13% premium above the three-month volume weighted average price of 35 cents.
Geo Energy will also pay US$23.5 million in cash, and also an assignment of receivables worth US$18 million.
The company will be calling for an EGM to get shareholders' nod for this deal.

Which is why I don't attend agm/egm. If I am still the SH by then, will just attend see what they and others say. If ResInvest vote for, then I think v v high chance reso will pass. Then I will just sell whatever balance I have if its during trading hours. Now can hold cos bought cheap, may just sell, no hurry see how

out of total trade 18.2m sh done so far, 17.6mil done at 35.5/36.0, ie almost 97%. think bs are collecting them and now beginning to push up at 36.0/36.5. who knows, he may push 38-42c within the next few days or weeks.
