Keppel sells stake in Dyna-Mac for S$100 million to Hanwha Group
The holding accounts for 23.9% of Dyna-Mac&rsquo s issued share capital
KEPPEL&rsquo s subsidiary has sold its entire stake in oil and gas company Dyna-Mac : NO4 +2.78% to Hanwha Group for S$100 million, as the company continues its shift towards becoming an asset manager.
Keppel&rsquo s : BN4 +1.66% entire stake in Dyna-Mac &ndash held by subsidiary KepInvest Holdings &ndash accounted for 23.9 per cent of the contractor&rsquo s issued share capital, and comes up to a market value of about S$90 million based on the sale shares on May 9.
Hanwha Ocean, the shipbuilding arm of Hanwha Group, will be buying over 21.5 per cent of Dyna-Mac&rsquo s shares, while the group&rsquo s other subsidiary, Hanwha Aerospace, will be holding onto 2.4 per cent.
Keppel said in a bourse filing on Friday (May 10) that the deal was done on a willing-buyer, willing-seller basis, taking into account the historical and current traded prices of Dyna-Mac&rsquo s shares.

In other words, Keppel sold off 250 million shares to this company for 40 cents a share. Sales proceeds = 100 million dollars. The closing price of Dynamac on 9th May was 36 cents. Hence Keppel sold at a 10 million dollars premium over yesterday' s closing price * 250 million shares sold = 90 million dollars.

DIVESTMENT OF SHARES IN DYNA-MAC HOLDINGS LTD. Keppel Ltd. (the &ldquo Company&rdquo ) wishes to announce that through its wholly-owned subsidiary, KepInvest Holdings Pte. Ltd., it has divested 23.91% of the issued share capital (the &ldquo Sale Shares&rdquo ) in Dyna-Mac Holdings Ltd. (&ldquo Dyna-Mac&rdquo ), which is listed on the Main Board of the Singapore Exchange Securities Trading Limited to (i) Hanwha Aerospace Co., Ltd. (2.39%) and (ii) Hanwha Ocean Co., Ltd. (21.52%) (the &ldquo Divestment&rdquo ) for an aggregate cash consideration of S$100 million (&ldquo Consideration&rdquo ). The Consideration was arrived at on a willing buyer willing seller basis, taking into account the historical and current traded prices of Dyna-Mac' s shares. The market value represented by the Sale Shares as at 9 May 2024 was approximately S$90 million. Following the Divestment, the Company has fully divested its shareholding interest in Dyna-Mac. None of the directors and controlling shareholders of the Company has any interest, direct or indirect, in the transaction, other than through their directorships or shareholding interests, if any, in the Company. The Divestment is not expected to have any material impact on the net tangible assets per share or earnings per share of the Company for the current financial year. | ||||
