Speculation bro, since cma cannot raise offer price something had to give in. Either they got lucky more than 90% approve or a backup plan would be triggered. Temasek sell off investor interest on national interest so paying diference or top up is reasonable too, anyway th got like 2.2b off cma giving back 150mil back to support deal is cheap. All these pure speculation only don take to heart |

why TH needs to top up for CMA ? are they related ? TH' s money is from Singaporeans  how could they use taxpayers' money to fund foreign country company ? Bro , tioh bo  ?

Possibility of cma raising offer price is very low as they negotiate the deal using borrowed money, so it fall on temasek to either top up the difference or give a cash incentive to investors supporting deal. In all this is pure speculation, depending on take up rate might not even happen. |

If cannot hit 90% nol remain listed and cma would be panic cos it would greatly delay merger plan. But i think they would extend offer till really cannor extend further, something would give in. As alway they had backup plan just in case, i wanna them to trigger it cos it usually result in better offer either through increased offer or cash incentive.

I thought more than 90% will give them the right to compusorily acquire and delist alr? The case i mentioned is what happens if it does not hit 90% by july?

Need more than 90% to converse any shareholder meeting to delist nol, less than 90% not allowed under sgx rule. Check out page 29 on offer book if u had doubt, scare tactic as usual but sgx rules there to protect investors interest.

Very low volume with the silly 569mil buy bid, this is silly on cma they think can buy everything open from market. Try for 6 months their trick only get 10.5%, hope friday SIAS meeting someone there can question the rational of offer since it not offered in the best interest of investors. The blue envelope i keep first waiting to see response for take up rate |

By doing nothing we exerting pressure on cma which in turn would pressure temasek cos the whole shit is caused by psa who want cma to contribute to sg export which in turn prevent retrenchment in sg. PSA is temasek wholly owned sub and hehe temasek should compensate us since we not gona do national service. Pressure should be applied to maximise investor interest. |

All bros in forum, stay chilled and ignor language used in offer letter. We got till 4 jul 16 and even if u did not accept offer after deadline, 100% sure offer would be extended. In the event 90% hit cma would force buy everyone with 1.30. Left right centre u still get 1.30, by waiting out we might force temasek hand to compensate us since cma cannot raise offer price as it is tied to bank loan. Remember singapore building a massive container terminal in tuas and relocation from tanjong pagar, lot of stuff at risk if this deal don result in delist of nol. 1.30 is a guarantee since deal would 100% go uncondtional, problem is cma want to delist nol to do merger.  |

Check out page 29 on the offer letter, sgx rule and regulation on delisting and compulsory force buy, offerer can only entitled these option only if public floated less than 10% or they get no less than 90%. Don be fooled by the language used in the first few page, rule are still rule. Anyway if cma take control of nol they would 100% sold off the port terminal portfolio to reduce debt, so another apl logistic proceed. Failure to delist nol hurt cma more than us so stay chilled and enjoy the show, no hurry to sign on dotted line u got till 4 jul 16. Amything can happen like temasek might compensate rest of investors if they support deal since the whole deal in the first place not in interest of investors. |

lets not accept their offer...in the end..even if we don't accept and they are able to get 90% ...then also we will get 1.30 offer price forced selling. if we accept their offer...and if due to some reason the price rises...we would not be able to sell...we are anywas locked for 3/4 months. | ||||

sgng123, can explain how the voluntary delisting offer works? Say for now they cannot get 90% maybe only around 82-83%, and they apply for a voluntary delisting offer, to voluntary delist NOL from sgx. Thus, they would need to convene a meeting to vote right?. But since CMA are the majority shareholders now, wouldnt the meeting be just for formalities sake and pass through easily since CMA has got 82-83%? |
