RECEIPT OF LETTER OF DEMAND

The board of directors (the Board or the Directors) of V2Y Corporation Ltd (the Company and together with its subsidiaries, the Group) wishes to announce that the Company and its Directors had on 30 September 2025 received a letter of demand of even date (the Letter of Demand) from lawyers representing Mr Ang Wei Yang Felix (Mr Ang). The Letter of Demand states, inter alia, that defamatory statements (the Statements) had been made against Mr Ang in the Company' s announcements dated 18 September 2025 and 26 September 2025. Mr Ang has demanded for the Company and each of its directors to comply with the following demands by 14 October 2025: (1) payment of damages in the sum of S$95,000 (2) withdrawal of the Statements made against Mr Ang by way of an SGX announcement and a private written apology and (3) a written undertaking that the Company and its directors shall cease and desist from making or publishing any further false or defamatory statements about Mr Ang.

RECEIPT OF WHISTLEBLOWING COMPLAINT

" The AC is in the midst of assessing the Complaint and wishes to state for the record that as at the date of this announcement, the matters set out in the Complaint have yet to be verified. The AC has, however, determined that the allegations made against Mr Ang in the Complaint are serious and should be investigated and accordingly, the AC will be seeking to appoint special auditors to assist in the said investigation. As a matter of prudence, the Company had also on 24 September 2025 lodged reports with the Corrupt Practices Investigation Bureau and Singapore Police Force in relation to the Complaint. 

The Board hereby confirms that it has sought and obtained legal advice in relation to this announcement and bears full responsibility for the contents and legal implications thereof.

Trading in the Company&rsquo s securities on the SGX-ST had been halted by the Company on 25 September 2025 before trading hours. The Company will be requesting to convert the trading halt to a voluntary suspension of the Company&rsquo s shares on the SGX-ST with effect from 26 September 2025 to ensure that adequate time is provided for the Company to conduct the necessary investigations and shall notify shareholders accordingly upon completion of the investigations."
 

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting (EGM) of V2Y Corporation Limited (the  Company) will be held in person at  Room 300, Suntec Singapore Convention & Exhibition Centre, 1 Raffl es Boulevard, Singapore 039593 on 17 October 2025 at 2.00 p.m. to transact the following business:

AS SPECIAL BUSINESS

To consider and if thought fi t, to pass the following resolutions as Ordinary Resolutions, with or without any modifi cations:

1. That  GUO ZHIPENG be removed from his office as a director  of the Company forthwith, from the date of the EGM. [See Explanatory Note (i)] Ordinary Resolution 1

2. That  YIP MUN FOONG be removed from his office as a director  of the Company forthwith, from the date of the EGM. [See Explanatory Note (ii)] Ordinary Resolution 2

3. That  GENG GUILING be removed from his office as a director  of the Company forthwith, from the date of the EGM. [See Explanatory Note (iii)] Ordinary Resolution 3

4. That  JONATHAN LEE JIAHUI be appointed as a director  of the Company forthwith, from the date of the EGM. [See Explanatory Note (iv)] Ordinary Resolution 4
