egm on 14 March to approve two resolutions. take note ORDINARY RESOLUTION 1 - THE PROPOSED ACQUISITION OF FIFTY ONE PER CENT. (51%) OF THE ENTIRE ISSUED AND PAID UP SHARE CAPITAL OF IP2S KOREA CO., LTD That: (a) approval be and is hereby given for the Proposed Acquisition on the terms and subject to the conditions of the SPA, as well as any other transactions contemplated under the SPA and (b) the Directors of the Company and any of them be and are hereby authorised to complete and do all such acts and things, including without limitation, executing all such documents and approving any amendments, alterations or modifications to any documents as they or he may consider expedient or necessary or in the interests of the Company to give effect to the transactions contemplated by the SPA and/or this Resolution. ORDINARY RESOLUTION 2 ? THE PROPOSED ALLOTMENT AND ISSUANCE OF 937,500,000 SHARES IN THE CAPITAL OF THE COMPANY AS CONSIDERATION FOR THE PROPOSED ACQUISITION That: (a) conditional upon Resolution 1 above being passed, approval be and is hereby given for the allotment and issuance by the Company of 937,500,000 Shares (?Teledata Shares?), at the issue price of S$0.02 per Share to the Owners on the terms and subject to the conditions of the SPA, whereby the Teledata Shares shall rank pari passu in all respects with the then existing shares of the Company except that such Teledata Shares shall not be entitled to any dividends, rights, allotments or other distributions, the Record Date of which is before the date of issuance of the Teledata Shares, and will be admitted to listing on the Mainboard of the SGX-ST and (b) the Directors of the Company and any of them be and are hereby authorised to complete and do all such acts and things, including without limitation, executing all such documents and approving any amendments, alterations or modifications to any documents as they or he may consider expedient or necessary or in the interests of the Company to give effect to the transactions contemplated by the SPA and/or this Resolution. They usually placed out the shares to some rich institutions or people (at a slight discount to market price) to get cash for working capital. Recently they bought IP2S Korea so need cash for the aquisition. Normally the price will be pushed up, otherwise nobody will want the placement. Trade with care .....DYODD |
