SHEN YAO HOLDINGS LIMITED (Company Registration No. 202042117W) (Registered in Singapore) PROPOSED PURCHASE OF UP TO 3,550,000 ORDINARY SHARES IN THE CAPITAL OF REAL ESTATE ANALYTICS PTE. LTD. Unless otherwise defined herein, all capitalised terms used in this announcement shall have the same meaning as defined in the announcements of Shen Yao Holdings Limited (the &ldquo Company&rdquo ) dated 29 March 2021 and 5 April 2021 (&ldquo Previous Announcements&rdquo ). 1. Introduction The Board of Directors of the Company refers to the Previous Announcements in relation to the Proposed Transaction. 2. Approval In-Principle The Company has made an application to SGX-ST for the listing and quotation of the Consideration Shares to be issued in connection with the Proposed Transaction. The Board would like to announce that the Company has on 16 July 2021 received the in- principle approval from the SGX-ST for the listing of, and quotation for, the Consideration Shares, on the Catalist Board of the SGX-ST (the &ldquo AIP&rdquo ), subject to the following conditions: (a) Shareholders&rsquo approval be obtained for the Proposed Transaction at a general meeting to be convened and (b) to commission an independent valuation on REA (&ldquo Independent Valuation&rdquo ), and to include the valuation report in the Circular. Shareholders should note that the approval in-principle granted by the SGX-ST is not to be taken as an indication of the merits of the Consideration Shares, the Proposed Transaction, the Company and/or its subsidiaries. 3. Further Updates to Shareholders In the Previous Announcements, it was mentioned that an independent valuation will not be conducted on REA as REA is a technology start-up and has not commenced commercialisation of its data analytics solution. The Directors are of the view that it may not be meaningful to conduct a valuation on REA at this point in time. As such, in valuing REA for purpose of the Proposed Transaction, the Company has made reference to and took into consideration the valuation of REA at which the Wodabow Subscription will be undertaken and the valuation of companies with similar business models instead. In addition, there was no specific requirement under the Catalist Rules for an Independent Valuation. Accordingly, the Company did not impose the requirement for an Independent Valuation during the course of the negotiations with the Vendor and REA prior to the signing of the SPA. With an Independent Valuation now being one of the conditions of the AIP, the Company will be engaging the Vendor and REA in discussions on the commissioning of an Independent 1 Valuation to fulfill the condition specified in the AIP. The Company will provide further updates to Shareholders on the outcome of the discussions with the Vendor and REA. 4. Trading Caution Shareholders are advised to exercise caution in trading their Shares. Completion of the Proposed Transaction is subject to certain conditions. As at the date of this announcement, there is no certainty or assurance that the Proposed Transaction will be completed or that no changes will be made to the terms thereof. The Company will make the necessary announcements when there are further developments. Shareholders are advised to read this announcement and any further announcements by the Company carefully. Shareholders should consult their stockbrokers, bank managers, solicitors, accountants or other professional advisors (as appropriate) if they have any doubt about the actions they should take. No, how high it will go depends very much on the evaluation on how much gold they can mine from that gold site Nevertheless, SY will not be so stupid to start mining operations if the amount of gold to be mine is not feasible

Of all the developments that are forthcoming, I am eagerly awaiting for SY to announce that they found gold at the new Tarnagulla site. From all the clues that were given, I believe this announcement will be coming out soon and this will be the best gift to all the people who had put their faith and trust in him. If there is no result after spending so many million in gold mining expansion and exploration, Mr Yao will have a lot of explanation to do
Let' s hope that he will not disappoint us.

Good for SY to consolidate at 6-7 to form a strong base. Be patience, this is like climbing Mount Everest, the highest mountain in the world at 29,000 ft and it takes about 2-3 months to reach the peak. Evevest presents dangers such as altitude sickness, weather and wind, as well as avalanches. It is not a straight climb, climbers takes 6-8 days to hike to Base camp at 17,000 ft to acclimatise to prevent altitudes sickness before ascending to Camp 1 at 19,900ft..They will then make their way up to Camp II at 21,300ft. If the weather is good, they will ascend to Camp III at 24,500ft. From here, they will then attempt to push to the summit Not everybody can reach the peak, each year 300 people died will attempting to reach the peak.

Bro, do you even play stocks with knowledge? What fake queue you talking? This can be considered slander you know. All these are based on algorithmetic trading. They buy and sell queue will be adjusted based on retail investor confidence. When confidence is low and retail investors start selling, the computer will adjust the buy volume accordingly. Similarly for the sell volume. This is why trading you can never beat computer. You should go and learn more before commenting so much without knowledge to create unnecessary panic.

In any stock market, there are speculators who hit and run and investors who set a target to let go when target is reached So, reading through the replies posted. It is obvious who is which.. Will there come a time that the shares are bought up by those buying at 0.006 and no more sellers till 0.007 is crossed and the process is repeated till everybody wait for it to cross beyond 0.01. | ||||

Actually, I am very happy that you raise this concern about the issuing of shares to JMP and their key management staff. I am sure this was on the mind of many although no one has voiced this up
When the issuing of shares was announced, the share price dropped from $0.009 to $0.005 because many viewed this with concern and sold off their shares.
A positive development initiated by Mr. Yao becomes negative and this is because people do not understand the logic behind all these.
Many thought that JMP and the key staff got a good bargain, forgetting that many of us bought the shares at a price lower than what they are paying
Let not forget the shares were issued to JMP and the key staff for a reason.
In addition to raising the much needed capital, Mr Yao roped in JMP(with its years of experience in fund investment and trading) to help the company grow and as for the key staff, this is a reward to get them to work hard for the company
Please note that I am in this forum to share info and exchange views.
I have no interest in running down, getting into a quarrel, arguing with people or to hype up/condemn a stock to get people to buy or sell.
In the end, whatever that is shared, please do your due diligence before putting your hard earned money to buy or to sell.

How about you go to other counters' forums and advice everyone for every other counters that you see the same as well? Why only give advice here? Why must you choose to only save people who believe in Shen Yao? Can you save people who invest in other counters also? I think it is quite clear we are all adults and can make our own decisions.
