Announcement:
THE PROPOSED CONSOLIDATION OF EVERY FOUR (4) EXISTING ORDINARY SHARES IN THE CAPITAL OF THE COMPANY INTO ONE (1) ORDINARY SHARE (THE ?PROPOSED SHARE CONSOLIDATION?) ? RECEIPT OF LISTING AND QUOTATION NOTICE Unless otherwise defined, capitalised terms herein shall have the same meaning as ascribed to them in the Company?s announcement dated 12 March 2018 (the ?Announcement?) in relation to the Proposed Share Consolidation. The Board of Directors of JEP Holdings Ltd. (the ?Company?) refers to the Announcement and is pleased to announce that the Company had on 2 April 2018 received the listing and quotation notice (the ?LQN?) from the SGX-ST for the dealing in, listing of and quotation of:- (i) up to 414,037,542 Consolidated Shares arising from the Proposed Share Consolidation (ii) up to 38,469,615 adjusted Warrants arising from the adjustments to the Warrants (the ?Adjusted Warrants?) on the basis that four (4) Warrants will be consolidated into one (1) Adjusted Warrant and (iii) up to 38,469,615 new Consolidated Shares to be issued by the Company upon the exercise of the Adjusted Warrants (the ?New Consolidated Shares?) on the Catalist of the SGX-ST, subject to the following:- (a) compliance with the SGX-ST?s listing requirements and (b) approval of the shareholders of the Company (?Shareholders?) being obtained for the Proposed Share Consolidation at the EGM. Shareholders should note that the LQN granted by the SGX-ST is not an indication of the merits of the Proposed Share Consolidation, the Consolidated Shares, Adjusted Warrants, New Consolidated Shares, the Company, its subsidiaries and their securities. The circular to Shareholders containing further information on the Proposed Share Consolidation and enclosing the notice of the EGM will be despatched to Shareholders in due course. Further announcements on the Proposed Share Consolidation will be made by the Company as and when appropriate.
