Yes and no, the conditions precedent states that all unsecured debt has to be fully discharged before the deal can be done by Salim Group. I.e. hyflux gets $400mill plus additional loans and working capital ONLY AFTER the unsecured debt is discharged
Existing shareholders, bond holders, perps etc will all share the remaining 40% I.e. massive dilution Maybank is unlikely to redeem the debt, it has no need to, it is in a better position to just continue collecting its principal and interest as per loan schedule

60% is 1,177,500,000 shares valued $400,000,000 40% existing 785,000,000 shares valued $102,835,000 at NAV $0.131 Combined NAV is $0.26 if SMs offer is admitted.   |

Please note $130M is for " working capital" (need to be repaid) and only $400M for 60%. This will work out to about 34c per share. I consider this a disguised take-over with 60% ownership.  Since PUB doesn' t allow foreign bidding of TuasSpring, I doubt they will allow a foreign company to take over Hyflux.

A WhiteWash Resolution will nullify the takeover. This also applies to Noble. New owner owns 70%.

I believe Salim & co. are paying $530mil for 60% of a, as yet hypothetical, restructured Hyflux, not the Hyflux before suspension, debt-ridden balance sheet and all.

You are making all the wrong assumptions. For a start, using Hyfluxs last done price as a base is Wrong, very Wrong. Just look what happened to Ezion when suspension was lifted. You should be aware that when Hyfluxs suspension is lifted, many cant wait to Sell. For now, Hyflux is insolvent. If the banks demand payment, it will declare chapter 11, bankrupt! Don&rsquo t dream about $0.45. You are lucky to get back some money.

There' s a big caveat for the equity injection, i.e. hyflux must comes to terms with the other creditors, notably the banks before the money comes in. Meanwhile, over the next several months Hyflux will busy engaging them. But at least, they are negotiating from a much stronger position than a week ago :)

Yup! Be positive that we can keep the company in going concern. This is very important! They will announce the plan to shareholders . I think If they can turn around the current situation, things may get better and the company may be able to be in profitable condition again!

I just did a recalculation the price paid for by SM is 45 cent per share based on $530m investment for 60% stake, or 114% premium over last done price before suspension.
There are a few posters who regularly curse or condemn Hy and one even mentioned Hy is worth 1 cent. Please spend some time to understand who is S and M before making senseless comments. Unless you say you are much richer than either S or M, then I've nothing to say. And I believe if you are richer than either, you won't be here posting. To the someone who posted dozens and dozens of negative postings, and then say he only own 10k shares, will it be better if Hy fold if no one rescue it or having a super whiteknigt paying 114% premium price over last traded price? Does it worth all the 5 months of time to post over such quantity of shares? I have around 1 million shares in Hy yet I never say anything negative anytime about Hy,. The goo thing is my average cost is ultra low, at below 22 cent a share.

Given that Tuaspring sale, only Singaporean companies were pre-qualified, I think the retention of all the top executives and directors is an attempt to give the impression to PUB/regulators that it will be business as usual at Hyflux even after the 60% transfer of control to Indonesian Salim and co. Whether it actually makes sense or not, I think the offerers are of the opinion that if PUB does not give the go ahead, all else is moot.

Correct me if I am wrong, Salim & co. expects the $400mil injection to clean up all debts in exchange for a 60% of the debt free Hyflux, providing additional $130mil working cap? Means the 40% of restructured hyflux  is expected to be shared amongst existing ordinary and preference shareholders and (convertible?) debt holders after distributing the $400mil pie amongst the debt holders/bankers and the deal is off if any of the component debt holders do not agree to their terms? Does it mean existing shareholders and debt holders have up to 29th Oct, set by Maybank, to agree with the restructuring of Hyflux(too rush imo), or, more likely, is the 29th Oct deadline to receive an in-principle approval by PUB to qualify Indonesian Salim' s bid for 60% of Hyflux? Seems like a very long road ahead and the ball is still in Maybanks court.

Yes, no logic to keep those bad performance of directors and CEO which have had bring the company to the dilemma stages. I opine that the management retention shares is a back door arrangement to compensate the directors & CEO for the dilution effects in relation to the issuing new shares. We should vigorously to reject such unfair term during the EGM. To put in efforts to attend EGM to reject all the unfair proposals.

Yes, blue chips have good fundamentals but Not risk free, Lehman is an example. Best time to buy blue chips is when there is a disaster. When the disaster is over, they will be the first to recover, but the dust may take a long time to settle, or never. During Asia financial crisis, City D was $2.00, yes $2.00.
