CLIM will becomes REITs and Business Trusts, and if assume the Price/NAV to be at least 1 (can be more), it will be at least $2.715. If Price/Nav is 1.2 (similar to other REITs), will be $3,26. My guess. |

That' s my understanding. CL is now private. It holds its prop dev and CLIM. All CL SH become CLIM SH. CLIM managements reits/investment. The prop dev is removed. CL SH will get 1 CLIM + 0.951 cash + 0.155 CICT share. They all add up to 4.102 theoretically. The question is what will CLIM be when listed.

Based on current share capital of 5,202,962,608 as at 19 Mar 2021. Assuming conversion of all outstanding convertible bonds, vesting of awards between Joint Announcement Date and Scheme Effective Date and estimated number of ordinary shares to be issued as payment of director fees, fully diluted shares outstanding will be 5,409,995,696. In such case, Eligible Shareholders will receive the following for every 1 CapitaLand share: 
(a) 1 CLIM share at NAV per share of S$2.715, (b) S$0.951 in cash, 
(c) 0.071 CICT Units (representing CLA&rsquo s share of DIS of CICT Units distributed to Eligible Shareholders) valued at S$0.151, based on CICT&rsquo s 1M VWAP of S$2.122/share as at 19 Mar 2021, 
(d) 0.072 CICT Units distributed to Eligible Shareholders valued at S$0.152, based on CICT&rsquo s 1M VWAP of S$2.122/share as at 19 Mar 2021 
Thats my understanding, someone please help to clarify if I am wrong in my interpretation. 1) The CapitaLand share will change to CLIM share, CapitaLand will privatised to run their development arms. 2) Existing CapitaLand will be paid $0.951/share, 0.071 CICT Reit shares will be given (will have dilution of CICT?) |
