I went in at around $0.09cts and then doing all the way in out in out and my number of lot buying getting smaller and smaller this is just in case share price go into correction. He is an executive (not sure if it is Chief Executive Officer) of Changsa Sanji, a subsidiary of 新 开 源 (300109.sz) a company listed on Shenzhen Stock Exchange. He formed a company with Gao Hong and NEIS called SING-SWE MM on 7 May 2021. I would expect 新 开 源 to make an annoucement to Shenzhen SE if the distribution award is to generate hefty profits. Certainly an announcement is expected because of related-party transactions involving its executive. There were no such announcements. Was there a conflict of interests when Mr Wang formed a comany with NEIS (whose mission is New or renewable energy) to distribute its products and then on 3 June sells the company to CFM? Would this conflict of interests cause 新 开 源 to rescind its distribution contract with NEIS? In any event, 新 开 源 at a board meeting on 31 May 2021 passed a resolution to cease Mr Wang' s appointment as deputy general manager in when his appointment was supposed to be until 2 Sept 2022. No reasons were given. 2. CFM is taking a stake in a company whose only contributor is NEIS (Messrs Wang and Gao who owns 15 shares each makes no contribtuion to profit). But CFM is only buying 21 shares out of the 70 owned  by NEIS. Implying that SING-SWE MM total profitability is only 30% of NEIS' s profits. My question is why is CFM not buying a direct 30% of NEIS to derive 30% of the profits of NEIS rather than buyin 51% of SING-SWE MM to get 30% of NEIS' s profits? Why let Wang and Gao enjoy free-ridership? 3. CFMin para 3.1 of SPA said that the PE ratio is 3. Given that the 51% stake costs $6.1m, SING-SWE MM is estimated to be able to make a profit of $4m for which CFM would derive $2million. (At best the profit of $4m is a forecast because it is a new company). If we interpret in another way that NEIS who hold the actual distribution rights makes $4m, then SING-SWE MM only makes $1.2m and CFM much less at $0.6m. In any case, if the SPA results in CFM making $2m a year, the nit does not make sense for the capitalisation of CFM to go from $12million before the announcement to $69million now. The $57 million jump in capitalisation of the company is excessive by any yardstick. 4. On 27 May 2021, 2 days before the Halt, total volume traded on SGX was 75.3 million shares. On 28 May, colume was 38.5 million. Total 113.8 million. The total number of issued shares of CFM is 201,535,276. Two substantial shareholders of the comapny together own 135.9 million shares. Free float is 65,614,826 shares. But the total number of shares traded BEFORE the announcement is a whopping 1.7 times free float. It is very interesting, and it is worth SGX to investigate, to see who the buyers are for these 2 days. In any event it requires a capital outlay of only $4.3 million($0.066x65,614,826). It is hence THEORETICALLY not difficult to corner this stock and have total control over the future share price and also control selling to the buyin-in market resulting in total failure of the SGX settlement process. I am not suggesting that this is the case for this counter but I wonder what SGX thinks?

The target companies have exclusive rights in other countries: ' The Target is a Singapore company incorporated on 7 May 2021 involved in the distribution and sale of pharmaceutical products with the exclusive distribution rights to certain viral test  and detection kits, including inter alia, nucleic acid quick tests, rapid antigen tests, antibody rapid tests, and thalassemia screening kits, (collectively, the &ldquo Test Kits&rdquo ) in Europe, Africa, South Asia, South-East Asia and Middle East (the &ldquo Target Regions&rdquo ), and intends to invest in and develop its own products in related fields (the &ldquo Target Business&rdquo )' more importantly, fhere are also some terms towards biz takeover, eg. Clawback.. one of the terms stated in the document with regard to this acquisition is such that ' It is also noted that Proposed Acquisition has been structured on an &ldquo earn-out&rdquo basis and the Company would only pay the full amount of the Consideration if the Target achieves a Target Group NPAT (as defined below) of S$2,000,000' Obviously there are many serious investors who read the document in details and are reaping profit last few days... you had been left out because you don' t fully understand the full ' story' ....

What can be the sales revenue for a glove and cleanroom distributor in Singapore with so many competitors? Company did not state any exclusive distributorship that likely shows weak revenue. 2. Buying a company with a doctor name and with 6.1m (supposed value for 51% shares of a startup company) of a May 2021 but with chairman from a long suspended listed company Hu An Cables with paid up capital of only 100 dollars AND most important factor, NO RISK ASSESSMENT?? 3. Buying a company that  distribute test kits, for It is just an " in thing" now....and there are a number of examples.   With the above and only strong reply to SGX, there is likely no sustainability on this surge but a good time for investors to cash out. Be careful......
