We note that in Feb 2014, GLP sold a 34% stake in its Chinese business (China Holdco) to a consortium of China-based investors. Under the agreement, GLP said it will work with the consortium to seek either a listing of the China Holdco or trade sale within a three-year time horizon. If this does not occur, the parties have agreed to work together to explore a swap of Holdco shares for the GLP head stock, the valuation of which would likely be determined by independent valuers. If this cannot be achieved in four years, there is a provision for the Holdco to distribute all retained profits (less the amount needed to meet operating commitments) to its shareholders ....
