The Board of Directors (the &ldquo Board&rdquo or &ldquo Directors&rdquo ) of Sincap Group Limited. (the &ldquo Company&rdquo and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to announce that the Company has entered into a conditional Share Sale and Purchase Agreement (&ldquo the &ldquo Agreement&rdquo ) with Advanceleap Corporation Pte. Ltd. (&ldquo Advanceleap&rdquo ) on 12 June 2017 to dispose the entire issued and paid-up share capital of Beijing Raffles Investment Advisory Co. Ltd (&ldquo Beijing Raffles&rdquo ) on the terms and conditions of the Agreement (the &ldquo Proposed Disposal&rdquo ) for a consideration of S$10,000,000 (the &ldquo Consideration&rdquo ).

Coy has allotted and issued 379,830,410 Rights Shares today pursuant to the Rights Issue. Following allotment and issuance of 379,830,410 Rights Shares, the total number of issued Shares (excluding treasury shares) has increased from 520,670,000 Shares to 900,500,410 Shares. The gross proceeds raised is S$3,798,304.10. Rights Shares are listed and quoted on Catalist with effect (record date) 9.00am on 11 April 2017. Noted - 379,830,410 Rights Shares after issued, will rank pari passu in all respects with the then existing Shares, save for any dividends, rights, allotments or other distributions, the Record Date for which falls before the date of issue of the 379,830,410 Rights Shares. |

Rights issue @ $0.01 (total 2,603,350,000) was massively under-subscribed with a total subscription rate of only 14.59% (379,830,410 inclusive of excess application for 64,113,510). Looking from a different angle, it can also can contrued as a buying opportunity as the bulk of any percieved overhang has been removed with a very low subscription rate. Moreover, its share price has crashed from about $0.02 because of the then inpending rights issue. On this reasoning, (other things being equal) the share price should now rebound back as the full dilution has not occurred. The only parties who can and will reasonably sell are the 64 mil excess rights shares holders. But then again, they could be holding old shares which are cost at $0.02 or higher. So their overall cost would be higher. I would view $0.01- $0.012 as a good entry level for a possible rebound back to at least $0.015 |
