(the &ldquo Company&rdquo and  together with the subsidiaries of the Company, the " Group" ), refers to the announcements  dated 28 June 2024 and 11 July 2024, in relation to the Proposed Acquisition (the &ldquo Previous Announcements&rdquo ).  Where capitalised terms are used in this Announcement and not otherwise defined, such capitalised terms shall bear the same meanings as ascribed to them in the Previous Announcements. The Board is pleased to announce that the Proposed Acquisition will be completed on 26 July 2024. As a result of the completion, Myanmar Motors Pte. Ltd.,  the Company&rsquo s wholly owned  subsidiary, will acquire all of Tokyo Century Asia Pte. Ltd.&rsquo s (&ldquo Tokyo Century Asia&rdquo )  interest in Yoma Fleet Limited  (&ldquo Yoma Fleet&rdquo ), comprising 2,000,000 ordinary shares  (the &ldquo Sale Shares&rdquo )  which represent 20% of the issued and paid-up share capital of Yoma Fleet. As the Group holds the remaining 80% interest in Yoma Fleet, Yoma Fleet will become a deemed wholly owned subsidiary of the Company. In consideration for the sale and purchase of the Sale Shares, the Company has issued and allotted an aggregate of 137,000,000 new ordinary shares in the Company (the  &ldquo Consideration Shares&rdquo )  at the issue price of S$0.135 for each Consideration Share to Tokyo Century Asia on 24 July 2024. The Consideration Shares shall rank  pari passu  in all respects with the other shares of the Company then in issue, save for any rights, benefits and entitlements the record date for which is on or before 24 July 2024. Following the issuance and allotment of the Consideration Shares, the total number of issued shares of the Company has increased from 2,249,837,592 shares to 2,386,837,592 shares. The Consideration Shares will be listed and quoted on the Official List of the Singapore Exchange Securities Trading Limited with effect from 9.00 a.m. on 26 July 2024. Detention would be they catch u while u are at sleep then detain u. they wont ask u to travel to capital and then let u use phone although not freely.
