No dividends, losing $$ and the CEO, Directors drew fat fat salries ,, The company&rsquo s independent non-executive chairman Euleen Goh was paid fees totalling S$249,000 for FY2022, and S$214,795 for FY2021. (Sats has a Mar 31 year end). She has served as an independent director (ID) of Sats since Aug 1, 2013. Her continued appointment as an ID was approved for a further three years under a &ldquo two-tier&rdquo vote at the company&rsquo s most recent annual general meeting on Jul 22. The company&rsquo s current president and chief executive Kerry Mok was appointed only on Dec 15, 2021. For FY2022, he was paid a pro-rated amount of S$387,874 comprising salary, bonuses and benefits for that role. Prior to becoming president and CEO of Sats, he was part of the group&rsquo s senior management team. For FY2021, he was paid between S$1 million and S$1.25 million in salary, bonuses and benefits.

The most valuable asset WFs have is the contracts. So when will the contracts expire? What is stopping original WFs executive to start new company to compete? |

SIAS will be holding an event tmr for shareholders to query and hear mgmt point of view about the WFS transaction. What should minority shareholders be concerned about? I think the following are important.
1) In the past 10 years, what has WFS?s dividend payout to its shareholders been like? If WFS is the number one player in air cargo handling and has a track record of profitable growth, there would have been excess cash generated that can be returned to its shareholders. 2) SATS? presentation of the transaction highlights EBITDA margin. But EBITDA alone is an incomplete picture. How has WFS performed in terms of EBIT margin, Net Profit margin, Return on Equity and Return on Invested Capital in the past 10 years? 3) Would the New SATS be able to pay dividends to shareholders and at what amount per share? A key concern of minority shareholders is that the existing debt at WFS and the new debt-instruments that SATS has to take up to finance the acquisition could mean that there would be little cashflow and earnings left for paying dividends. Understand that management may not want to give forward guidance due to the future being unpredictable. So, to address the above minority shareholders? concern and to help management give guidance, based on the following assumptions (and only if these assumptions hold), what could a reasonable range of dividend per share be? a) Based on the pre-COVID earnings of both SATS and WFS b) Based on a right issue of $800 million c) Based on WFS?s existing debt position and repayment schedule d) Assuming SATS will not do anymore merger and acquisition activities. 4) Cross-selling across a combined customer base is extolled as one of the key synergies of the deal. So that minority shareholders can better assess the achievability of this synergy, in the past 10 years, across SATS cargo network in Asia (e.g. Singapore, Taiwan, Hong Kong, Indonesia), which cargo stations has SATS combined together in a network deal and for which airlines? |

In the recent quarter financial statements, co had to resort to comparing with and without pandemic wage subsidies to show a smaller loss quarter to quarter. We are all aware that the pandemic wage subsidies served many purposes.. but the fact that with or without subsidies, the recent result was still a loss and no restoration of dividends and the share price tanked further. The subsidies probably enabled the co to warm start the operations after being mothballed due to covids. If the Co had to do such comparisions to look good.. then one may question whether it can digest the current acquisiton. of S1.64 billion? Hope in the dialogue, Co  would not resort to such petty comparisons to look a bit better? We are fully aware that some Cos' directors shamelessly paid themselves performance bonuses where the results were inflated by the subsidies.. What SATs is doing is not better, after taking the freebies tried to account to show that it is doing better excluding the subsidies. |

yes..I do agree with your comment I just think that current price level has alrady factor in all the bad news. I am not sure whether there is chance to reverse the acquisition during EGM, when T as major shareholder say YES.  Let see what SATS CEO says during EGM.

Some people paint so rosy but TH is the one who run road by selling to those stupid retail  few days after the annoucement. It is good , judge for yourself...can tell you the cargo business is declining with all the suuply chain disrupted  just by one country. |

Most of the invesors esp the institutional investors voted with their feet.  No issue with a good acquisition, which does not cause the share price to plunge and unable to pay dividends which used to be the hallmark of SATS Retail investors need the regular dividends after foregoing during the pandemic, we need to pay the bills and the food on the table, not maybe.  Those are the realities.and not the maybe..

As an investor, ones should look in long term. Maybe SATS will the first company in Singapore, to be No 1 for Flight services provider in the World. Share price maybe higher that SIA. Who knows.. Anyway, I will be keen to buy and keep for longer term and see price appreciation as I dont believe in  dividend payout.  |

I think SATS is so keen for the acquisition is partly because of current strong Sing$ Therefore, they think it is the right time now as air travel will surely boom in near future. Maybe T is behind SATS to push this acquisition for a big Win for SATS in long run and also to put Singapore a strong presence to the World.      |
