The board of directors (the &ldquo Board&rdquo ) of Metal Component Engineering Limited (the &ldquo Company&rdquo and together with its subsidiaries, the " Group" ) refers the Company&rsquo s announcement on 29 October 2021 (the " Announcement" ) in relation to the Group&rsquo s entry into share subscription agreement with MedTel Healthcare Private Limited (&ldquo MedTel&rdquo ) to subscribe for up to 10% of the issued and paid up equity share capital of MedTel (the " Proposed Investment" ). Unless otherwise defined herein, all capitalised terms used herein shall bear the same meaning ascribed to them in the Announcement. The Board wishes to update that the Company had, through the Sponsor, consulted the SGX-ST on the applicability of Catalist Rule 1014(2) on the Proposed Investment, and the SGX-ST has confirmed that based on the Company&rsquo s submissions and representations to the SGX-ST, the SGX-ST has no objection to the Company&rsquo s view that the Proposed Investment constitutes a discloseable transaction and that the Company would not need to convene an extraordinary general meeting to seek Shareholders' approval for the Proposed Investment. The Company will make further announcements, in compliance with the requirements of the Catalist Rules, as and when there are material developments in respect of the Proposed Investment. Shareholders and potential investors of the Company should note that there is no certainty or assurance as at the date of this announcement that the Proposed Investment will be completed. In particular, the SSA is subject to conditions which may or may not be fulfilled. Metal Component Engineering raising $3.3 mil via placement to fund growth into healthcare
Metal Component Engineering is raising $3.3 million in gross proceeds via a placement to fund its move into new business areas of healthcare and ecommerce.
Under terms of the placement, the company will issue 66.53 million new shares at 4.95 cent each, which is a discount of 9.5% to the volume-weighted average price of 5.47 cent on Nov 15.
The shares will be taken up by a group of 15 investors, including Dr Lim Cheok Peng, former CEO of Parkway Holdings and managing director of IHH Healthcare.
On Oct 14, MCE , through its wholly-owned subsidiary, 5Digital, announced an investment in PT Gaido Digital Medika in West Java, where its joint venture partner partner, the Gaido group is &ldquo well entrenched&rdquo .
A fortnight later, MCE, again via 5Digital, invested in MedTel Healthcare.
" MCE has progressed well to realise its vision of creating an integrated digital healthcare platform and we want to further leverage on our assets to be well placed in South East Asia," says chief investment officer Ahillan Pupalasingam.
" All further new investments will be synergistic to our current assets with the intention to maximise shareholder value," he says, adding that the company is eyeing similar opportunities in Philippines and Vietnam too.

my personal opinion is they will not go for suspension....Suspension will make investors lost confidence and cause the company to lose huge market value

Investors with healthcare industry backgrounds are putting up money through a share placement to support the growth of the new healthcare and e-commerce business of Metal Component Engineering (MCE). His investment vehicle, Kessler Investment Holding, is subscribing for 8,200,000 shares for $405,9000, or 4.95 cents a share. Another investor is Mr Yong Yean Chau, the CEO of Parkwaylife REIT. He is subscribing for 17,000,000 shares for $841,5000. His subscription is the largest of 15 subscribers who are investing $3.3 million for 66.53 million shares in total.
