Remember penny stock saga in 2013, its total closure only on 2019. Hopefully this suspension does not drag on for some more time. Shareholders must be organised up to chase for the update of the suspension. Otherwise, they might take their own sweet time to probe this issue as there is no sense of urgency for non shareholders. Unable to verify facts. 2 years record revenue and profit, yet no dividend given. Even CDL which is in the red gives out dividend. You guys still think that this is a honest company? More like musical chair. x 0   x 0  Alert Admin	Now the question is when can resume trading ? i think this year will be very likely to resume from suspension and the question is the existing shareholders will dump their share ? i will buy more if drop more , as their business is getting better in malaysia and other countries , if it is fraud , why no action is  taken to founders ? Auditors will also resign if any fraudulent be identified which is their common practice.

This industry known for hard sell and the mtgm obviously know how to hardsell to shareholders Im still waiting for SgFinance and Ling to respond. Why disappear? Talk so much and say wait for AGM. For instance, in a post dated 15 Feb 2021, uiop1223 (in a reply to beng1102) alleged the following: " Based on the information available to us, we are unable to conclude on whether the Group?s business operations in China are in violation of the relevant provisions under China laws.  So if agents is not allowed, BW need to provision for significant legal penalties and moving forward, it needs to set up physical shops across china. Still good profits? Use ur brains, if any." It has become apparent that uiop123 has failed to consider the facts of the case in its entirety as the aforementioned concerns in his post have been addressed in the company filing entitled ' DISCLAIMER OF OPINION BY INDEPENDENT AUDITOR ON THE FINANCIAL STATEMENTS FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2019' , a 12 page document, published on 11 Feb 2021.  We shall address the key areas of concern for the benefit of the retail investment community: 1) On legality of the Business Model (Legality of the franchise model / Direct selling risk) On page 11 of the filing, it is clearly stated that " M& T has advised that BW Changsha is qualified to engage in franchise business in China and that the business model complies with franchise related laws and regulations in China." Further to that, on the same page, the filing also indicated that " BW Changsha has confirmed to M& T in its Commitment Letter dated 8 July 2020 that the Representatives promoted the relevant products on behalf of the franchisees, and BW Changsha did not recruit door-to-door salesmen to sell the relevant products directly to ultimate consumers outside its fixed places of business, and only distributed the relevant products in China under the Franchise Model. Based on the foregoing facts confirmed by BW Changsha, M& T has confirmed that the Group&rsquo s business model in China does not constitute direct selling." As management has confirmed that the sole objective of BW Changsha&rsquo s business activities was the sale of products in China and its business does not profit from recruiting persons and remunerating recruiters on the basis of the number of persons recruited, or requiring recruiters to pay to participate, M& T has opined that, assuming BW Changsha is found guilty of contravening ChuanXiao related provisions, BW Changsha is unlikely to be subject to criminal liability and may only receive administrative punishment. M& T further highlighted that it has observed that, in practice, the competent authority is usually very cautious in making a determination of ChuanXiao behavior. While the M& T Legal Opinion may indicate potential risk areas of the franchise business model in China, it does not constitute a determination by a competent court or governmental authority of any breach of law, or confirmation of liability. M& T has not identified any instances of BW Changsha having been administratively punished by any Chinese authorities for engaging in illegal direct selling or ChuanXiao activities within the period from 1 June 2018 and up to 31 December 2020. In addition, the Company has provided M& T with certificate letters issued by the competent ChuanXiao authorities from the Zhejiang Province, the Sichuan Province, Chongqing City, Guiyang City, Changsha City, and the Panlong District of Kunming City, which state that BW Changsha has no records of administrative penalties for ChuanXiao. M& T has advised that normally the Chinese competent authorities are cautious in issuing the abovementioned certificate letters, as such certificate letters to some extent reflect the low likelihood of these competent authorities taking investigative action against BW Changsha. Accordingly, M& T has advised that the risk of investigation by such competent authorities in the near future is relatively low. Concluding Remarks In summary, what we have here is a case of a highly profitable (by any measure of margins), high free cash flow (FCF) generating company with a strong balance sheet that was unfairly targeted by the notoriously unscrupulous short seller firm Bonitas Research which had previously identified BWL as a target likely because it saw chinks in its armour where it could opportunisitically leverage (through misleading the investment community via their " research" ) for their own financial gain. During the entire duration of its suspension of trading, the firm continued to produce impressive results, growing its sales revenue, net income and cash flows beyond market expectations (through its steller performance in Taiwan and China) A company' s stock price to some extent, reflects its fundamentals (that is - its ability to generate future free cash flows). The current price of $1.36 prior to its suspension represents a severely depressed stock price which was the result of Bonitas Research' s malicious manipulation. We believe that the stock is an absolute bargain at this price, as it was severely undervalued given the fundamentals of the stock at the time of suspension. The suspension of trading thus far has prevented the opportunity for the stellar financial performance and operating results (over the past c. 2 years) of the underlying business to be priced into the stock. Bearing in mind that the pre-Bonitas stock price was at $3.30, and with the previously contentious issues addressed and out of the way, we expect the stock to at least return to its pre-Bonitas level of $3.30 (as the air has been cleared about the legality of its sales and business model), and in addition, we do not rule out the possibility and in fact find it highly probable that there is significant upside beyond the $3.30 price level (due to the stellar financial performance and operating reslts over the past c. 2 years which was not able to be priced in). We remain very optimistic about management' s ability to continue growing the business. Perhaps, forum participants such as uiop1223 did not make it to the end of the corporate filing. Once again, we would like to urge the retail investment community to carefully consider all corporate filings (public information) before expressing their opinion on forums, and also to exercise due caution and independent thought to avoid being misled when reading posts on the forum. The main concern: 1) are the import agents and marketing agents truly independent of BW or if BW exercises significant control, then the fs of the agents must be consolidated at group level of BW. This means sales to agent must be eliminated at grp consol level. Only sales to end customers can be recognised as sales of BW. But given the poor book keeping of the agents, i suspect we never know what is the true sales to end consumers 2) Legal review As disclosed in Note 2.1(d) to the financial statements, the legal advice obtained by the Group has indicated potential risk areas of the franchise business model in China.
