If you still think I am wrong, rebut my statements on Seatrium. If you could list out all the risks associate with Seatrium correctly, I suppport you, give you a guide, go read Sembcorp Marine circular, all risks is inside, copy and paste is no issue. SMM paid KOM what it need to pay, in the revert, Good will is review annually as before merger, both cannot disclose confidential matter as if merger fail by SHH voting, they are still competitors in the market. Currently whether the provision is claimable or not is a question which need experts here to verify. 4.) On 12 June and 28 July, Seatrium bought 1.2 and 20 millions lots equal to less than $3 millions, Seatrium with $2 bn cash available, even to spend $200 millions is nothing as a stragey to buy almost at end of down trend. 5.) Shares in treasury can be for employee, these is normal, and is usually account in if not wrong, not extra cash spend for extra things, besides, in long run once profit is in and any dividents declare, SHH will benefit with reduced market float as treasury is not entitled for any dividents. 6.) If scrap, TC share percentage will be proportionally reduce with other SHH, how TC will increase their percentage? Correct me if wrong. 7.) You are thinking out of the box, TC will throw towel if need to, but will not be in our generations to see it if there is a day. Keppel can throw Seatrium all the way to $0.06, no comment, but is unlikely for TC as major shareholders of both companies to allow so.   We can' t compare Hyflux with Seatrium. 1.) Seatrium is of 60 years history seeing it up and down with TC as major shareholders. Seatrium started seeing it down fall when Oil price collapsed in 2015 if not wrong, before it was making big money. Hyflux started in 2001 and failed in 2018 when it asked for court protection order when it accumaluted $2.8 bn loan which is unable to paid off. Less than 20 years history without TC as major SHH since 2005 if not wrong. 2.) Hyflux failed in depressed electricity prices in Singapore with Tuasspring in 2017, subsequent improvements in the price had not been sufficient to retore the Group to its previous financial status. Bond and preferial shares had not save it days. Seatrium with 3 right issues is able to turn Seatrium around, with major SHH TC and underwriting Bank assurances to the subscriptions if not wrong. 3.) Seatrium and Hyflux Business models is totally difference with and is in wrong timing. Seatrium is currently facing the start of uprise of O& G and enage excessively in Global Green Indusrty with Singapore Green Policies and as a Maritime Hub in History. If Seatrium 1 day to fail as Hyflux, SG will start to show sign of unfavourable situation with the Government and Policies which is not in foreseeable future. 4.) If Hyflux will to endure to last year, it will be salt fish turn to Arrowan fish, is just very bad timing for Hyflux. Is very sad so many people have lost their retirements and savings. 5.) Cash flow always cause a company to fold not business, is correct. Seatrium is currently cash rich with $2 bn include green loan and other loan. Is a concern for high interest environments, Seatrium Management is aware and is starting to review to pay off load earlier as they commented. 6.) Is another concern with any other bomb shell like the $400 million Depreciation and Amortization, is either impairments or gain through sale if not wrong, but is 1 time off as Kitchen Sink affair we suppose, Seatrium management is looking into it as commented. They are leaving no stone unturn to make Seatrium profitable as soonest possible. 7.) Initially is Keppel buying over Seatrium, but eventually is Seatrium doing so. Keppel has wanted a new Business model of light assets, it might be this as a main reason for the final. 8.) Once merger is final, is always right to chose for the better person to take the lead from the 2 merged companies, TC is the major SHH in both, nothing ridiculous at all. 9.) Seatrium current order book is $20 bn, is only right for Seatrium to add another $10 bn order book to fully book as commented by Seatrium amnagement. At $5.8 bn revenue to breakeven as commented, sure they need more revenue to creat significant profit is required. This is another concern. As longist, they probably have confident with Seatrium management at own taste and risks. You are thinking out of the box, TC will throw towel if need to, but will not be in our generations to see it if there is a day. Keppel can throw Seatrium all the way to $0.06, no comment, but is unlikely for TC as major shareholders of both companies to allow so.   We can' t compare Hyflux with Seatrium. 1.) Seatrium is of 60 years history seeing it up and down with TC as major shareholders. Seatrium started seeing it down fall when Oil price collapsed in 2015 if not wrong, before it was making big money. Hyflux started in 2001 and failed in 2018 when it asked for court protection order when it accumaluted $2.8 bn loan which is unable to paid off. Less than 20 years history without TC as major SHH since 2005 if not wrong. 2.) Hyflux failed in depressed electricity prices in Singapore with Tuasspring in 2017, subsequent improvements in the price had not been sufficient to retore the Group to its previous financial status. Bond and preferial shares had not save it days. Seatrium with 3 right issues is able to turn Seatrium around, with major SHH TC and underwriting Bank assurances to the subscriptions if not wrong. 3.) Seatrium and Hyflux Business models is totally difference with and is in wrong timing. Seatrium is currently facing the start of uprise of O& G and enage excessively in Global Green Indusrty with Singapore Green Policies and as a Maritime Hub in History. If Seatrium 1 day to fail as Hyflux, SG will start to show sign of unfavourable situation with the Government and Policies which is not in foreseeable future. 4.) If Hyflux will to endure to last year, it will be salt fish turn to Arrowan fish, is just very bad timing for Hyflux. Is very sad so many people have lost their retirements and savings. 5.) Cash flow always cause a company to fold not business, is correct. Seatrium is currently cash rich with $2 bn include green loan and other loan. Is a concern for high interest environments, Seatrium Management is aware and is starting to review to pay off load earlier as they commented. 6.) Is another concern with any other bomb shell like the $400 million Depreciation and Amortization, is either impairments or gain through sale if not wrong, but is 1 time off as Kitchen Sink affair we suppose, Seatrium management is looking into it as commented. They are leaving no stone unturn to make Seatrium profitable as soonest possible. 7.) Initially is Keppel buying over Seatrium, but eventually is Seatrium doing so. Keppel has wanted a new Business model of light assets, it might be this as a main reason for the final. 8.) Seatrium current order book is $20 bn, is only right for Seatrium to add another $10 bn order book to fully book as commented by Seatrium amnagement. At $5.8 bn revenue to breakeven as commented, sure they need more revenue to creat significant profit is required. This is another concern. Question you should ask. 1) what is the rationale to do SSB,100% knowing Keppel will sell which is known to public? 2) Is foriegn fund buying? what about current SSH, they should be adding a lot unless management fail to convince them or they see / knew something. 3) in this way how much is the SMM paying for KOM? 4) going in this way, what' s the financial impact to Seatrium, not making money and yet spending huge on SBB. 5) what will happen to treasury shares, employee benefit, scrap? 6) If scrap, what happen, TH percenttage increase trigger offer to take over, how much can you expect if cannot make profit and yet millions goes into SBB. 7) Can TH throw tower if Seatrium run into problem? After Keppel sell Seatrium shares, what the true cost of per shares of seatrium for TH, i recalled someone say 6 cents before merge, now? if Keppel sell everything above 12x  and return as div / payout, my ez guess is another 30-40% lower. I only can hope this don' t end up another hyflux when it comes to financial problem later down the road. As far as I know good book value does not always mean profit after hyflux case, with the same team from KOM heading Seatrium, i wonder is SMM buying KOM or the other way, quite a joke for SMM management who propse the deal to say. Although, seatrium the current book order seems strong, it just mean it can last longer and keppel have a longer time to drain more cash from Seatrium, untill the management do something diff. not vested, my view  ​ dyodd
