x 0   x 0  Alert Admin	10:42 PM EDT, 04/16/2025 (MT Newswires) -- Yangzijiang Financial (SGX:YF8) received notices from Merlion Quay and Operie to terminate the proposed sale of the company's existing treasury shares, according to a filing with the Singapore Exchange on Wednesday. The decision was triggered by a decline in the company's share price below a pre-agreed threshold. According to the terms of Yangzijiang's agreements with Merlion Quay and Operie, the purchasers had the right to terminate the agreements if the closing price of Yangzijiang Financial's shares on the Singapore Exchange fell below 85% of the closing price on March 28, which was SG$0.676. On April 10, the company's share price closed at SG$0.67.

x 2   x 1  Alert Admin	why i feel more assured after the agm is after ren explain his logic of ordering the ship build. he thinks a few steps ahead. and has put in measures to hedge against potential downside. like he works with large ship owners of 200 ships to build the ship together, in that way in the worse case when he cannot sell the ship the partner can buy over the ship. he uses tier 2 ship yards to earn extra 11% on the price difference compared to tier 1 ship builders. there is risk here. he uses some agency to look after the build. hope he has put in a qa approached and not just qc .  tier 2 is not tiers 2 for no reason. they may have lacking in areas like a good apppoved suppliers list, good qa material control, trained workers, methods, equipments etc. if done well the tier 2 yard has a lot to gain as they move to become tier 1. if pe of 15 is applied to a growth stock, the target share price is $1.2 base on current profit. will be more as we hear more ships being sold for good profits. sorry if i hurt your feeling on script dividend. you still get your 40% dividend if no like script. the growth will give more dividend in years to come. ​ dyodd.

x 0   x 2  Alert Admin	the limiting factor is now how much cash one has to ride the rare opportunity. so selling TS will bring in more cash to grow profit. paying less dividend for growth helps, ren honour his words on 40% dividend. so use dividend in specie for those believe in the growth in future.  for growth stock.  retain more profit for growth will end up better for shareholders then pay out cash dividend.

" a lot to digest. really what matters is that ship will face more fuel cost to buy those remedial units if it cannot match the reduction requirements.  actions will get more serious after 2028.  that is why ren building of ships will have ready buyers and by then the price of ship will be more as more owners will rush to make their ships comply. it is a rare opportunity for ship builders/converters to cash in on the change. so not likely the two investment fund will cancel the TS buy. the price of yzjfh can be projected as more ships are ordered over time. dyodd

He could be prepping for a spin off but whatever it is, the markets continue to face uncertainty because of the egoistic POTUS. To be clear, nothing is ever certain and the markets are no exception, however, the level of volatility is too great for any meaningful business planning. Let' s see what' s next on old Ren' s sleeves but in the near term YZJF just like majority of others will continue to face headwind. As of now it would be already very good if next FY we can maintain the same level of EPS and DPS and any increase is a bonus.

These strategic investors (likely passive but rich investors who are also not likely in the maritime domain) could certainly buy much cheaper in the market now due to the ongoing Trump drama, but they will be on their own. If they buy TS, the TS will come with a package deal with 3 senior insiders to help manage the investments. If I have $130m to burn and I still want to invest, I will opt for the TS placement package deal. However, I am of the opinion that the full TS cancellation is a far better outcome than the TS placement (some people may not agree, nevermind ...). TS placement will add 194m shares back to the O/S, implying that even if YFH could maintain it' s sterling FY24 npat in FY25 amid all the Trump ongoing drama, the FY25 EPS and DPS will still be lowered to 0.083 and 0.033 respectively. YFH has $1.812B cash/YP as at 31 dec 2024. The coy has a lot of cash so why still inject this placement of ~$130m equity into the balance sheet while increasing the share O/S by a huge 194m shares ? The 2 strategic investors are likely passive investors not in the maritime domain who could bring in synergistic expertise or connections to significantly advance YFH maritime business footprints. Hence I am of the opinion that the cancellation of this TS placement is a good outcome.
