Sats is rallying after months in doldrums as investors look past dilution from rights
Since mid-March, Sats' shares have been rebounding. It closed Monday (Apr 3) at $2.78, representing a 16.8 per cent gain from its Mar 14 close
SATS has had a turbulent six months. After announcing it was in talks to buy the world&rsquo s largest air cargo handler Worldwide Flight Services (WFS), the company&rsquo s shares fell from S$4.09 to a low of S$2.38.
 
Since mid-March, however, the stock has been rebounding. It closed Monday (Apr 3) at S$2.78, representing a 16.8 per cent gain from its Mar 14 close.
 
Sats&rsquo rights shares, issued to raise money for the acquisition, commenced trading on Mar 29. And the company announced on Apr 3 that it had completed the acquisition.
 
With the overhang of the rights issue and the deal completion removed, it appears investors are expecting better days for the stock.
 
Recent headwinds
Short-selling of Sats had been heavy since the start of this year, according to analyst Brian Freitas of Periscope Analytics, who publishes on Smartkarma, with short-selling crossing 40 per cent of traded volumes in the week ending Feb 17.
 
Downward pressures continued after Sats announced it would issue 363.1 million new shares at S$2.20 apiece to raise S$798.8 million.
 
Shareholders were entitled to 323 rights shares for every 1,000 shares held.
 
The rights issue price of S$2.20 apiece represented a 20 per cent discount to Sats&rsquo last transacted price of S$2.75 on Feb 20, and a 16 per cent discount to its theoretical ex-rights price of S$2.62 per share.
 
Trading of the rights between Mar 7 and Mar 15 also contributed to the depressed share price. According to Shareinvestor data, the rights were trading as low as S$0.166 on Mar 14. This would have weighed on Sats&rsquo shares, as investors had the cheaper option of buying the rights instead of the stock.
 
UOB Kay Hian analyst Roy Chen observed in March that there was an overhang from rights trading, and the S$2.42 share price on Mar 10 implied a post-acquisition market cap of S$3.6 billion for Sats.
 
This was below Sats&rsquo market cap of S$4.35 billion when the WFS acquisition was announced. Factoring in the additional S$800 million in equity fundraising, Sats&rsquo market cap should have been at least S$5.15 billion.
 
Sats&rsquo reduced market capitalisation, in turn, created some risk it would be dropped from the Straits Times Index (STI) during the March index review.
 
The share price slide over the last six months had resulted in Sats becoming the smallest STI constituent.
 
Singapore Exchange market strategist Geoff Howie noted that Sats had a market cap of S$3.1 billion as at Feb 20, and was the 38th largest stock by market capitalisation within the FTSE ST All-Share Index. Had the stock ranked 41st or lower, it would have been omitted from the STI.
 
As the smallest index stock, Sats was also at risk of being displaced by a larger entity.
 
Sembcorp Marine&rsquo s acquisition of Keppel Offshore & Marine in February more than doubled the former&rsquo s market capitalisation, which could have resulted in an index inclusion.
 
Fortunately for Sats, the acquisition was only completed after the deadline for the March index review and there were no changes to the STI.
 
Looking ahead
Sats has been rallying over the past three weeks as investors look beyond these recent headwinds.
 
Sats&rsquo market cap has increased to S$4.1 billion as at Apr 3, ranking it above Keppel DC Reit on the STI and out of immediate risk of an index deletion.
 
Recent earnings releases from both Sats and WFS show improvements in their respective businesses.
 
Sats reported revenue of S$475.7 million in the third quarter ended December 2022, up 54.5 per cent on year. Net profit fell to S$0.5 million, down from S$5.1 million in the year-ago period, largely due to merger and acquisition costs.
 
Without government relief, the company would have recorded a net loss of S$13.7 million. This was less than the S$33 million loss for the year-ago period, which analysts said showed improving profitability.
 
Meanwhile, WFS posted a 16.5 per cent jump in its adjusted earnings before interest, taxes, depreciation and amortisation to 58.7 million euros (S$84.9 million) for the quarter to December. Revenue rose 19.9 per cent to 514.4 million euros.
 
Of the six analysts that provided a target price for Sats this year, there were three &ldquo buys&rdquo and three &ldquo holds&rdquo , with an average target price of S$3.15, according to Bloomberg data.
 
There are clear opportunities for Sats as it becomes a larger, globally-diversified player, but the risks of execution and integration remain, as does the uncertain economic environment.
 
This is apparent from the valuation of the counter, with Sats&rsquo market cap still lagging the levels before the deal was announced.
 
Management has a great deal to prove.

Oh, thank u Behonest... u understand my question.. just to make it even clearer: if I have 1000 SATS shares reflected in POEMs act, but CDP account shows 2000 (bcoz I subscription to SATS rights issue), I can go ahead to sell 2000 directly in my POEMS acct if I want to and it will go thru successfully in POEMS right?

Ah Neo. He don' t understand if you explain in technical   term. Must explain in layman term.  ah ping , what they are saying is if you use poem   purchasing sats right and excess , those right and excess won' t reflect in poem. It will only reflect either in cdp if you use cash to buy or cpfis-oa (bank) if you use cpf.  so when you want to sell all the shares including rights and excess, check cdp or cpfis-oa(bank) account how many share you have ,   don' t worry your poem show lesser than   cdp or cpfis-oa , you can still key the amount of share you have in cdp or cpfis-oa to sell hope that help hermano Ah Neo better check iocbc is custodian account don' t think iocbc link to cdp

Thanks for ur reply! I am using POEMS now and my SATS rights issued is only reflected in my CDP account, and not in my POEMS acct, so I wonder how to trade the SATS rights issued? TIA!

You don?t have to transfer. Your platform will only show the amount of shares that you bought through. When you sell the shares the broker house will match against CDP.

Key Insights
Every investor in SATS Ltd. (SGX:S58) should be aware of the most powerful shareholder groups. And the group that holds the biggest piece of the pie are retail investors with 47% ownership. We would expect most companies to have some institutions on the register, especially if they are growing.  We can see that SATS does have institutional investors and they hold a good portion of the company' s stock. This suggests some credibility amongst professional investors. But we can' t rely on that fact alone since institutions make bad investments sometimes, just like everyone does.
