LENDLEASE&rsquo S INVESTMENT IN SINGTEL SOMERSET PTE. LTD. On 1 June 2022, Singapore Telecommunications Limited (" Singtel" ) announced that it had entered into a framework agreement for the redevelopment of its Comcentre property with Lendlease (&ldquo Framework Agreement&rdquo ). Under the terms of the Framework Agreement, it is contemplated that Lendlease would subscribe for a 49% stake in the company incorporated to hold Singtel&rsquo s Comcentre property (&ldquo Singtel Somerset Pte. Ltd.&rdquo or &ldquo PropCo&rdquo ) and PropCo will pay Singtel the land cost of S$1.6 billion1 on completion of the subscription. The subscription was conditional on the satisfaction of certain conditions precedent including the parties obtaining regulatory approvals required in connection with the proposed redevelopment. Further to the above, Singtel wishes to announce that all conditions precedent under the Framework Agreement have been satisfied or waived, and Lendlease has subscribed for a 49% stake in the PropCo. Singtel&rsquo s gain on dilution of equity interest in PropCo is approximately S$1.2 billion, taking into account transaction and other related costs. The redevelopment of Comcentre will be funded by external debt and equity commitments from Singtel and Lendlease in accordance with the terms of the Framework Agreement. But telcos need heavy capital spending. They would need lots of money to invest in technology and telco infrastructure. Where will they get there funding from? Who else but we investors! I believe investors will continue to pour lots of funds into telcos simply because we cannot do without them. Its an essential, unless you want to be anti-social and live in a cave. On Feb 24, Singtel&rsquo s non-executive director Yong Ying-I acquired 30,000 shares at S$3.28 per share. Her preceding acquisitions were on Nov 27, with 20,000 shares bought at S$3.01 apiece, and in February 2024, with 10,000 shares acquired at S$2.33 per share. Yong has been on the Singtel board since November 2022.
On Feb 19, Singtel provided a business update for the third quarter of FY2025, which highlighted that its Q3 underlying net profit increased 22 per cent on year to S$680 million, or 23 per cent in constant currency terms. This was driven mainly by Optus and NCS, as well as higher profit contributions from Airtel and AIS.
Group CEO Yuen Kuan Moon also maintained that, with the positive momentum and active capital management of the past nine months, the group is making good progress with the Singtel28 plan for growth and sustained value realisation. It also remains focused on capturing growth opportunities in artificial intelligence, data centres, and global connectivity.
