Del Monte Pacific is another one which over leveraged. Both GMG and DMPL price crashed after acquisitions.... Followed by rights / ipo.... Let's see if DMPL and ThaiBev will survive....

Yep, agree with that.    I am not yet vested in Thai Bev.  Just waiting on the sidelines. Ppl ask what is the best price to get in.    Can' t answer that. Noone can.    Share price is not a straight forward text book call, there are many many factors influencing it.  In this case, the SSH is one major influence, it' s balance sheet is another, the market forces, yet another.    And many, many more.    How to know what' s coming?  It' s impossible.    What I do know is, that I want to own those shares for long term.  Coz I believe in Charoen, he' ll pull it off eventually.  As simple as that.

We cannot always rely on Brokers. Just look at SingTel, even when its BUY by many brokers, it keeps going down. Corporate governance wise, ThaiBev ratings have been downgraded by agencies - we can only guess why. What the future may be, I do not know. I burned myself in GMG rubber, so I am cautious.....

Right now, I' m not sure if the market is co ordinated in any way at all, hence the culprit for the price fall could likely be because of the Dow correction plus bad results.    Philips Securities have a buy call on Thai Bev with TP some high figure.    So it' s really hard to see what' s coming ahead.    You may think price will plunge further, and if a rights issue is announced, even more correction.    But brokers are giving a different signal.  As for myself, I' m quite bent on getting Thai Bev, and given this possibility price could take a further beating, I' d be waiiting in line, most likely to play the rights, if there is one.

The issue in the article is the lack of control over Sabeco, as Thai Bev only has 49%, this was already made known earlier on, so it comes as no surprise.    Not sure about corporate governance being an issue, right now.  I think if you look at the financial statements you may get a shock at the debt that has ballooned, both long term and short term overdrafts.      The next thing that is in investors' minds would be could there be a rights issue on the way?  I think someone pointed out earlier on.    And if a rights issue comes about, how do we position ourselves to take advantage of it?    I' d say it' s a short term medium strategy.  But first one has to be certain if they like Thai Bev to hold for long term, then the rest of the strategies would be crystal clear.

I am not too worried about how much they paid.  I am worried about corporate governance, especially since 2 people, one of whom advised on the deal, together hold 51% in vietnam!

yes. mid term remain positive.  some fm may b used this opportunity to short their own shares, plus b4 long wkend effect, seem oversold.  pickup a bit at 0.855.  anyway, fm like to depress stocks using other " timing info" & $$, until ppl unsure n sold then boom boom. so just get in at ur own comfortable level. b prepare for anything, even though mid long term is positive. Huat ah.   |

The facts have already been presented earlier on, nothing changes.    Price now reacted to market movements, mainly Dow, we will see if this is the major factor for the decline in price.    It' s also good to look closely at the financial statements released.    Just glanced through, immediately focused on gearing, there' s been some changes.    The financial statements are the latest facts presented on ThaiBev.    Not that we don' t already know they have paid too much for Sabeco, but now we see the impact on their balance sheet.    Goodwill has also ballooned.      Those are the negatives.    The long term positives remain the same, unchanged since last post.

http://bschool.nus.edu.sg/pdf/cgio/latest/CGIO_SGTI_2017_General_Category_Ranking%20Results%20by%20Scores.pdf from above website ThaiBev is ranked 388 for corporate governance in 606. That is, it is in the bottom 35% of companies listed in Singapore!

However, ThaiBev may not fully control Vietnam Beverage, because it only has 49% minority stake in Vietnam F& B. Two Vietnamese individual shareholders own 51%. According to ThaiBev&rsquo s 22 December 2017 SGX filing, &ldquo One of the Vietnamese investors in Vietnam F& B is a business person [who] is in the same group as the Company&rsquo s distributor of alcohol beverages in Vietnam. The other Vietnamese investor is the Company&rsquo s local business consultant [who advised] the Company in relation to the [Sabeco acquisition].&rdquo I have taken the above from the below website: https://blogs.duanemorris.com/vietnam/2018/01/22/thaibevs-vietnam-ma-deal-verifies-fol-work-around/ what do yoou understand ?

don' t know, frankly.    the chart looks whacko.    Steep fall.    Best thing I could do is monitor and get in when there is a feel selling' s done in.  we are looking at Thai Bev among the shares in the whole SGX, NYSE, gotta consider the market effect.    To really answer this question, I' d need to comb through the numbers again.    No mood now, lah. It' s CNY.

Agree there' s a bit of over selling, I suppose it' s due to uncertainty.    The factors for the selling are chiefly due to the market correction in US.    All stocks were bashed for this reason.    Especially at such a jumpy moment, bad results surely trigger fear and fright.    some sold in anticipation of a dip, and may buy back when the selling' s done.    Thai Bev' s results are so so, the acquisition costs  is a one off event.    However, the more important issues are whether takeover will reap good profits, Chang beer can hold it' s own against competition, and increasing beer restocking after the tax hike.  These are all the factors that could influence short term to medium price of Thai bev.      And these are things we least know of, being in Singapore and totally dependant on information from the media and analysts.    therefore, it' s hard to estimate the right price to buy back Thai Bev.    Long term, I see any price at these levels are a good way to build up a position in an outstanding performer.        |

Not sure if the market over-reacts. Afterall, it is just a non-recurring business acquisition costs. Surely, the investment would turn lucrative given time. Thai Bev net profit down 62% in Q1 http://www.businesstimes.com.sg/companies-markets/thai-bev-net-profit-down-62-in-q1   Wed, Feb 14, 2018 - 9:03 PM
THAI spirits maker Thai Beverage has posted a first quarter net profit of 2.91 billion baht (S$122 million), down 62.3 per cent from the same period a year earlier. The fall was largely due to non-recurring business acquisition costs of 2.35 billion from the four acquisitions it completed in the first quarter. Chief among these, ThaiBev and a Vietnam partner paid more than 109.9 trillion dong (S$6.53 billion) for a 53.59 per cent stake in Saigon Beer-Alcohol-Beverage Joint Stock Corp, or Sabeco. Sabeco' s results will be included in ThaiBev' s from the second quarter onwards. Net profit excluding the finance costs for Sabeco and other non-recurring expenses was 29.3 per cent lower at 5.48 billion baht. This translated into a 32 per cent dip in earnings per share from the same period a year ago to 0.21 baht. Otherwise, ThaiBev' s earnings per share was 0.12 baht, down 61 per cent. Revenue in the three months to Dec 31 fell 2.6 per cent to 45.6 billion baht, as private consumption in the domestic beverage market increased at a slower-than-expected pace even after the official mourning period ended because the economy had not yet fully recovered, the group said.
Domestic alcohol beverage sales was also affected by destocking of sales agents' inventory. Spirits sales revenue dipped 5.8 per cent despite an increase in sales volume due to a change in product mix, and net profit slumped 21.1 per cent to 4 billion baht. Beer sales dipped 4 per cent while net profit slumped 29.7 per cent to 886 million, as advertising and promotion expenses as well as staff costs also rose. Although total sales volume of beer was 206.8 million litres, a decrease of 6.2 per cent, ThaiBev said it maintained its share of the beer market. Sales of non-alcoholic beverages business rose 5.8 per cent, narrowing the segment' s net loss to 227 million baht, a 5 per cent improvement from a net loss of 239 million baht. The food business reported growth in sales revenue and improvement in margin, driven by contribution from the acquisition of KFC stores. Food revenue jumped 42.3 per cent and net profit surged from 5 million baht a year earlier to 109 million baht. ThaiBev said it obtained bridging loans from various local and foreign banks to fund the acquisitions in the first quarter. It will manage to take out short term debts in the appropriate time, it added. The counter closed unchanged at 91 Singapore cents on Wednesday before results were announced.   |
