Personally Do Not Expect Any Changes To The Revenue & Expecting Another Quarter Of Loss, Since Most Of The Significant Changes That Brings In Extra Revenue Just Happens In August.

For Bro Who Wanted To Know What Is Capital Reduction Reserve.
 
A capital reduction reserve isn' t a type of reserve, but rather the creation of distributable reserves that occurs after a company undergoes a capital reduction process, which is a formal accounting procedure to reduce share capital for strategic financial reasons.  The process involves writing off accumulated losses or returning surplus capital, effectively converting non-distributable capital into distributable reserves that can be used for dividends or other corporate needs. 
 
Here' s a breakdown of the concept:
  • Capital Reduction Process:
    A company undertakes this process to  simplify its capital structure, eliminate accumulated losses on its balance sheet,  or return excess paid-up capital to shareholders. 
     
  • Writing Off Losses:
    Companies often use this process to  offset large accumulated losses, which can prevent them from paying dividends and make their balance sheet appear healthier. 
     
  • Creating Distributable Reserves:
    By reducing the share capital, the company effectively  frees up capital that was previously restricted.  This freed-up capital becomes part of the company' s " distributable reserves" . 
     
  • Benefits:
    These newly created  distributable reserves can then be used for various purposes, such as paying dividends to shareholders, which was previously impossible due to the accumulated losses or restricted capital. 
     
  • Strategic Move:
    This is a strategic financial decision that requires careful planning and approval from shareholders and often creditors, as it  alters the company' s capital structure and financial statements. 
     
In essence: The capital reduction process converts non-distributable share capital into a capital reduction reserve, which is a type of free reserve that can be distributed.

Reduction of Share Capital

 

A company may, for commercial reasons, wish to reduce its share capital. This process of reducing share capital will reduce a company' s shareholder equity. Some common reasons for doing so include:
 

  • Return to members the paid-up capital that the company no longer needs.
 
  • Simplify its capital structure to be more efficient.
 
  • Compensate shareholders who wish to cancel their shares in the company.
 
  • Allow the company to pay up dividends, buy back shares or generate funds to meet other corporate needs.
 
  • Eliminate losses which may be preventing the issue of dividends.
 
  • Reduce or cancel the company' s paid up or unpaid shares.
 
  • Cancel share capital that is no longer represented by available assets in the company.

A company may reduce its share capital by doing either of the following:

(a)      Seeking members' s approval.

(b)      Filing an Order of Court.

Some takes from the AR & today' s AGM

1. MaxStar -  Exclusivity Fee of US$1,200,000 for appointment of Exclusive Distributorship in USA for a period of 8 years was paid to MaxStar. (Already starts generating revenue)

2. Pelangi Shophouse - Fully funded using internal resources, there is no loan taken. (Already starts generating revenue)
 
3. ESA - Matured business of 30 years and not expecting further Capex.

4. Capri Investment LLC -  Under the current zoning, normal development permitted includes sports facilities, religious buildings and educational centre. Management plans to engage with the relevant authorities to explore expansion re-zoning for the balance 80 acres of land.

5. China Gas Business HZLH - Recent approval by the Chinese Authority to peg gas price to upstream cost should see substantial improvement for the Gas Business, considering yearly consumption about 75 - 80 millions cubic meter.

1. Dislike the Management' s excuse of not making a presentation to update the shareholders. Even Secondary School' s Babies can make a proper Presentation nowadays. Hope to see improvement in the upcoming EGM.

2. Management should consider executing a Capital Reduction to offset the Accumulated Losses left behind by the previous shitty management, so they could declare dividend once the Company had made profits and stabilized.

3. Forgot to check with the Management why both the Company' s Webpage and HZLH' s Webpage is down for months.

Just came back from the AGM.

About 80% of the attendees are elderly in their 60s - 70s, suggesting they are " Long-Term Shareholders" owning the Company shares at a significantly higher cost maybe since the IPCO Era.

This bodes well for the share price in upcoming quarters when Company announce increasing profits since this group of die-hard " Investors" is very unlikely to sell their holdings without incurring a substantial losses.
