Hong Kong (TRLPC) (Corrects JCET' ' s bourse in paragraph 12) December 17, 2014 - basis point - Jiangsu Changjiang Electronics Technology Co Ltd (JCET) has mandated Bank of China on an about US$150-200m bridge loan to back its proposed acquisition of ofSingapore-listed semiconductor maker STATS ChipPAC Ltd, sources said. JCET proposed to acquire all shares in peer STATS ChipPAC for US$780m on November 6 and started exclusive negotiations with STATS ChipPac' ' s majority shareholder, Temasek-owned edSingapore Technologies Semiconductors Pte Ltd, since then, according to announcements from the two companies. JCET said it would offer S$0.452 (US$0.346) each to buy all the outstanding shares of STATS ChipPAC. The deal gives STATS ChipPAC an anenterprise value of US$1.8bn, including debt, Reuters reported on November 6. BOC will most likely provide the short-term bridge loan on a sole basis, but it could also invite select lenders to join the deal. The financing plan will be finalised by bythe end of the month. The bridge loan accounts for roughly a fifth of STATS ChipPAC' ' s current market capitalisation of S$929m, although the state-owned bank has underwritten a much bigger amount, said a source familiar with the matter. The loan size zewas scaled back after JCET obtained funds from China' ' s National Integrated Circuit Industry Fund, which was established on September 24 this year, the source said. JCET said in a December 5 announcement it will use cash for the acquisition. . Meanwhile, STATS ChipPAC is also looking to raise about US$800m through a loan to refinance outstanding debt, sources said. Deutsche Bank is working on the deal, and DBS Bank could also be involved, the sources added. JCET declined to comment. STATS TSChipPAC could not be reached for comment. The period for exclusive talks between the two parties ends on December 20, extended from the original November 30 and is subject to further extension, JCET said on December 5. Established in 1972, the heShanghai-listed JCET is one of China' ' s leading integrated circuit assembly and testing and semiconductor packaging companies. Trading of its shares was suspended on November 7 and the suspension will continue from December 8 onwards for up to a month, h,it said on December 5. JCET' ' s total assets stood at Rmb10bn (US$1.6bn) at the end of September, up 32% from the end of 2013. Its net profit for the first three quarters was Rmb127m. JCET acquired a majority stake in Singapore-based APS Investment PtePt Ltd in 2009. The latter, through its operating subsidiary Advanpack Solutions Pte Ltd and its joint ventures, provides integrated flip chip solutions to semiconductor makers. STATS ChipPAC is a leading provider of semiconductor packaging and testing ngservices with total assets of US$2.6bn at the end of the third quarter. It reported a 1.5% quarter-on-quarter fall in revenue in the third quarter of 2014 to US$404m and a net loss of US$35.42m for the nine months ended September. Citigroup is isadvising STATS ChipPAC on the M& A deal. CICC and Deutsche Bank are the financial advisers to JCET, Reuters reported. I' m utterly disappointed with this stock, no high hopes anymore.. I suppose it' s insider trading coz they are catching some opportunities to earn before the non-binding contract crystallizes on/ard 20-Dec. They' re playing with people' s minds.. I' m prepared to suffer a big loss from this :E What a SANTA year!! |
