4.2. Scheme Shareholders should note that, as the settlement date of the Scheme Consideration falls after the updated FY2024 Final Dividend Books Closure Date on 27 May 2025 at 5.00 p.m., the FY2024 Final Dividend will be deducted from the Scheme Consideration payable per Scheme Share, as the Joint Offerors will not receive the FY2024 Final Dividend in respect of the Scheme Shares from the Company. The Scheme Shareholders will instead receive the adjusted Scheme Consideration of S$0.610 in cash per Scheme Share.

 Alert Admin 		Japfa will be delisted from the official list of the Singapore Exchange (SGX) with effect from Friday, Jun 6, 2025, 9 am. On Tuesday (Jun 3), the group announced that its board had received confirmation that payment of the adjusted scheme consideration was made to each entitled scheme shareholder that day.

[SINGAPORE] Agri-food company Japfa is expected to delist from the mainboard of the Singapore Exchange on Jun 10, after the court on Thursday (May 15) sanctioned the scheme of arrangement to take the business private.
 
Japfa said the last day of trading of its shares will be on May 16 trading in the counter will be suspended from 9 am on May 19.
 
Japfa&rsquo s shareholders will receive the scheme consideration of S$0.62 per share in cash on or around Jun 6, based on an indicative timetable in the company&rsquo s bourse filing released after market closed on Thursday.
 
The books closure date is on May 27 at 5 pm.
 
Japfa in January announced the joint privatisation offer by Santosa siblings Renaldo and Gabriella &ndash children of the late Handojo Santosa, Japfa&rsquo s former executive chairman &ndash and their cousin Rachel Anastasia Kolonas.
 
Handojo Santosa was the son of the late Ferry Teguh Santosa, who founded Japfa.
 
Renaldo Santosa is also executive director and head of strategic projects at Japfa, while Gabriella Santosa is head of business development.
 
Kolonas is the daughter of Hendrick Kolonas, non-executive director at Japfa and the uncle of the two Santosa siblings.
 
The offer price represents a 34.8 per cent premium to the counter&rsquo s last traded price on Jan 15 before the offer was made, and a 12.7 per cent premium to the company&rsquo s net asset value per share as at Sep 30, 2024.

1.NEXT STEPS AND INDICATIVE TIMETABLE FOR THE SCHEME

  3.1 In light of the approval by the Scheme Shareholders of the Scheme, the Company will be submitting its application to the Court for the sanction of the Scheme by the Court under Section 210 of the Companies Act (the " Court Order" ). 
 
3.2 Subject to the grant of the Court Order and the satisfaction (or where applicable, waiver) of all the Scheme Conditions in accordance with the terms of the Implementation Agreement, the Scheme will become effective and binding upon the lodgement of the Court Order with the Accounting and Corporate Regulatory Authority of Singapore (" ACRA" ).
 
3.3 As set out in the Scheme Document, Shareholders should note the following indicative timetable in relation to the Scheme:
