Enviro-Hub to acquire property at 1 Tech Park Crescent for $5.55 mil
Enviro-Hub Holdings has been granted an option to purchase a leasehold property at 1 Tech Park Crescent for $5.55 million, and through its subsidiary, it will pay 4% of the purchase consideration by way of a letter of nomination, according to a bourse filing on June 11.
The wholly-owned subsidiary of the company, Cimelia Resource Recovery, has accepted and exercised the option on June 11 to pay $220.000, or 4% of the total purchase consideration to the vendor of the property, Leoch Battery.
The balance of the purchase consideration, together with goods and services tax, shall be paid no later than 12 weeks from the date of the exercise of the option, or Sept 3, 2025.
Enviro-Hub says that the purchase consideration will be funded by a combination of internal resources and bank borrowings.
The property is a leasehold property with about 28 years remaining, and the lease is due to expire on August 17, 2053 pursuant to an instrument of lease made between the head lessor of the property, the Singapore Land Authority (SLA), and the vendor.
Assuming the transaction took place on Dec 31, 2024, the net loss after the acquisition will be $26.2 million, and net tangible assets will be $60 million.
Enviro-Hub says that the purchase consideration was arrived at after negotiations on a willing-buyer and willing-seller basis. It had not commissioned a formal valuation of the property for the purposes of the proposed acquisition.

Enviro-Hub serves RM23 mil letter of demand to Pastel Gloves&rsquo owners who failed to meet profit guarantee
Enviro-Hub Holdings has served a letter of demand to the owners of Pastel Gloves Sdn Bhd (PGSB) demanding the payment of RM23 million ($6.95 million), following the inability of the owners to meet the profit guarantee set out during the proposed acquisition in 2021.
Enviro-Hub first set out to acquire the remaining 75% stake in its associate company, PGSB, in 2021 for $46.8 million in a 50-50 cash and share transaction. With this, PGSB will become a fully-owned subsidiary of Enviro-Hub.
Under the terms of the deal, Enviro-Hub will pay a cash consideration of $23.4 million and issue 292.5 million new shares at a pre-determined price of 8 cents apiece, which amounts to a total value of $23.4 million.
In the acquisition announcement, the owners of PGSB, Law Siau Woei (LSW) and Choo Kuan Ping, also known as the vendors, had warranted that the company shall achieve an aggregate audited net profit after tax (NPAT) of not less than $23 million for the profit guarantee period.
Should the audited NPAT during the profit guarantee period turn out less than the profit guarantee, then the amount equivalent to the shortfall will be set-off against the consideration that the vendors are entitled to receive from Enviro-Hub, after the profit guarantee period being the balance 37.5% of the consideration, or $17,550,000.
As PGSB failed to meet the profit guarantee in its entirety during the profit guarantee period, Enviro-Hub has opted to take legal recourse.
The vendors are expected to pay the full amount of RM23 million within seven days from the date of receipt of the letter of demand.

Just realised that they still own the glove company PASTEL GLOVE SDN. BHD. Infact because of the failure to meet the profit guarantee oy Pastel Gove, the Enviro_Hub paid less for the Pastel by $17 mil.

On Apr 8, Enviro-Hub Holdings executive chairman Raymond Ng acquired 900,000 shares of the company at S$0.022 cents a share. With a consideration of S$19,800, this took his total interest in the environmental management solutions group from 29.1 per cent to 29.16 per cent. His preceding acquisitions were in November 2024, which saw him increase his total interest from 28.73 per cent to 29.1 per cent with the acquisition of 5,797,600 shares at between S$0.023 and S$0.027 apiece.

Enviro-Hub Holdings enters non-binding letter of intent to dispose properties
Enviro-Hub Holdings has entered a non-binding letter of intent for the proposed disposal of HLS Environmental and HLS Property, which are wholly-owned entities of the company.
The letter of intent provides that the enterprise value for the subsidiaries will be between $45 million to $55 million.
The release from Enviro-Hub notes that given the proposed disposal will incur on a debt-free, cash-free basis, the company shall leave an amount of $1.5 million in the subsidiaries&rsquo working capital, and the total consideration payable to Enviro-Hub will increase to $46.5 million to $56.5 million.
The potential purchaser is a business company headquartered in Asia Pacific, the bourse filing notes.
Both Enviro-Hub and the purchaser will work with each other until Sept 30, 2025.
Enviro-Hub says that the letter of intent is non-binding and not intended to constitute a firm intention to make an offer.
The release from Enviro-Hub notes that the proposed disposal is subject to conditions, including the satisfactory due diligence completed by the potential purchaser, comprehensive financial disclosure received from the company, among others.
The purchaser has obtained approval from its own board to pay a deposit of $500,000 to Enviro-Hub.
