Russians chang­ ing their con­ sump­ tion habits
Traditionally, the Russians have con­ sumed tea, but in the last decade the aver­ age Russian cof­ fee con­ sump­ tion has rapidly increased &ndash by 4  times in 2012 com­ pared to the level of 2000, when only 68 mil­ lion peo­ ple in the coun­ try reg­ u­ larly con­ sumed cof­ fee. In 2014, this fig­ ure, accord­ ing to numer­ ous fore­ casts, will rise to 94 mil­ lion peo­ ple. This accounts for more than 60% of the Russian population.

This trend came mainly by the devel­ op­ ing of fast food chains, such as Starbucks or Coffee House. However, at the same time, the coun­ try remains one the largest tea-consuming coun­ tries in the world. According to the offi­ cial sta­ t­ ics in 2012 about 94% of Russians drink tea, with only three coun­ tries in the world being higher: India &ndash 95%, Indonesia &ndash about 96% and the United Arab Emirates &ndash about  98%

Super Group in JV to sell instant tea and coffee in Russia under Golden Eagle brand

Super Group has entered into a joint venture agreement to distribute instant tea and coffee beverages in Russia under the Golden Eagle brand.

The Golden Eagle trademark belongs to SmartPort Zapad (SPZ), a company controlled by Russian businessman Krekhanov Kirill Anatol&rsquo evich.

Under the agreement, Super Group, through its wholly-owned subsidiary Super Grandex Investment (SGI), will acquire a 50% equity interest in SPZ for US$2.5 million ($3.3 million).

The remaining 50% in SPZ is held by Krekhanov and parties under his control.

SGI will pay for the acquisition with US$208,000 in cash with the rest in the form of manufactured instant coffee beverages packed under the Golden Eagle brand.

Under the agreement, Super Group will also grant an additional US$1 million credit line to SPZ for the supply of instant tea and coffee beverages to SPZ.

But SGI would be entitled to a 50% dividend if SPZ' s profit exceeds US$15 million or within five years, whichever is earlier.

Super Group believes that the joint venture is in line with the company' s strategy to continuously seek out complementary businesses in its coffee, non-dairy creamer and tea-related food products and to widen our distribution network across the world.

Super Group will fund the investment through internal resources.

Its stock closed flat at $1.49 today.

Shareholder Ability to Change the Board
Shareholders who are dissatisfied with how the directors are running the corporation may remove the directors or refuse to re-elect them.
In practice, this may be a difficult course to take, particularly where the shares of the corporation are widely held.
 
The 4 individual substantial shareholders of Supper (excluding YHS investment Pte Ltd : 11.68%) are sitting in the board.


Take over by another company is easier in this case as compared to company which is owned by a single  majority shareholder.

Significant change over 1 year. Another 9.1% acquisition = delisting.

US-registered funds, Matthews International Funds & Mathews International Capital Mgt LLC are the new shareholders and they may be planning something.
