AcroMeta explained that the proposed divestment will free up additional working capital for ongoing operations and future opportunities. Under the term sheet, the cash consideration for this proposed divestment is $1.4 million, subject to a price adjustment based on the adjusted net asset value of ACH as at completion. The term sheet also includes agreed safeguards, with completion conditional upon ACH meeting a minimum adjusted net asset value of $1.0 million, including cash and cash equivalents of at least $300,000. The proposed divestment is subject to the negotiation and execution of definitive agreements, the satisfaction of conditions precedent, and approval by AcroMeta shareholders. " This transaction allows the Group to sharpen its strategic focus and strengthen its financial flexibility as we position AcroMeta to pursue opportunities aligned with our longer-term priorities,&rdquo says Lawrence Toh, executive director of AcroMeta.

Under the Supply Agreement, AM will set aside S$500,000 to be deposited into a designated account to be jointly operated by AM and EJL for the trading of nickel (the &ldquo Prepayment&rdquo ), and subject to the performance of EJL, increase the amount to up to S$2,000,000 at the sole discretion of AM. The Supply Agreement shall be for a term of two (2) years and shall be automatically renewed for subsequent terms of one (1) year unless terminated in accordance with the terms of the Supply Agreement. Pursuant to the Supply Agreement, Elisabet, the majority shareholder of EJL has also executed a Deed of Personal Guarantee and a Deed of Pledge of Shares in EJL held by Elisabet to guarantee the Prepayment and performance of the trades. Elisabet has also agreed, within 5 Business Days from the signing of the Supply Agreement, to execute a deed of undertaking, of which the terms of the deed of undertaking will be separately announced, when available.  The proposed strategic partnership aligns with the Group&rsquo s strategy to participate selectively in the global nickel value chain, driven by growing demand from stainless steel production and energy transition applications. The proposed transaction is not expected to have a material impact on the Group&rsquo s net tangible assets or earnings per share for the current financial year. The Board will keep shareholders informed of any material developments in respect of the proposed strategic partnership in due course. Shareholders are advised to exercise caution when dealing in the securities of the Company.

x 1   x 0  Alert Admin	yesterday' s meltdown in commodities will they affect this? oops , they hv not produced a single oz of nickel yet, so not affected, 6 cts tp still intact ya. if stockmarket is aboout self deception and self enjoyment, this is it😛 and one guy apparently always buy at the lowest point, and all the good news will follow after the purchase. conversely, once he has no position, the sp will tank big time or he has let go at the highst possible price. how i wish stockmarket was so straightforward.
