 Alert Admin 		sias asked a simple but very relevant question, amongst others, quote:
" Can the independent directors justify the decision to approve the proposed acquisition valued at more than nine times the targets&rsquo NAV (US$127.5 million vs US$13.5 million), particularly when the Company itself has historically traded below its own book value?"

was looking at prices of used tugs and barges. the acq is probably worth us$13-15mil, as shown in the nav of us$13.5.
if bbs vote for, they are probably looking long term konsi potential, not just 1 yr but several yrs of recurring profit.
result after 2molo' s egm after 10am.

most investors were bulish like u, with resinvest strong support and the good progress in the hiway infrastuct project. they buy up until geo hit 52c.
but when announcement of dolphin egm meeting, geo drop like crasy. they panic and cut loss, to oversold or near.
obviously equity exchange rate is obviously ridiculous.

SIAS asked the same questions. The goodwill come in the form of " Equity Interest' of the targeted companies to the tune of US$285m. If the 2 targeted companies can earn so much why is their NAV so low? I was building position in Geo when this acquisition was taking place, primarily in view of Reinvest' s high warrant prices and also the road infrustructure Geo was building for alternate source of income. However with such high acqusition price involving interested parties, I have some concerned and sold all at low price albeit still with profit. I was wrong in the context of subsequent price surge to hit the high of $0.52 so what do I know. I think shareholders must continue to grill the management at the EGM even though they have provided response to SIAS.

Crazy! USD$127m to buy 2 companies with combined annual profits of USD$7.4m and NTA of USD$26.4m? That' s not all, as Geo only acquiring 51% of the 2 companies, the relevant annual profit and NTA is USD$4m and USD$13.5m only. In return, Mr Melati alone will receive USD$79m worth of new shares! His immeidate families will receive seperate amount of cash, shares and receivable too. The dilution to EPS is $0.032 to $0.0307 and NAV from $0.4888 to $0.3977. The relevant announcement mentioned that there will be an independent valuer report, however, with EPS and NTA as per documented, any value above NTA is at best intangible value such as future possible earning etc. As a shareholder I will be watching the development closely.

 Alert Admin 		BBs already got it cheap during the past 2 days of trading. All these cheap buys were sponsored by the panic investors. Want to buy back at these prices would not be easy. The dividend was only 0.1 cent but dropped 3 bids, BBs took opportunity to grab at cheap prices.

 Alert Admin 		Agree. Sell down has started since geo announce the egm date. from about 50 to 42.5, within a short period. obviously investors nervous about ' arm' s length' transaction. bbs probably taking advantage buy at cheap getting cheaper panic sale.

 Alert Admin 		The queries is whether the proposed purchase is a "arm's length" transaction. The red flag is it involves interested party. Maybe this is the cause of sell down on Friday. Not vested. Dyodd.
