Hence continue the process of having an (external party) to do the housekeeping. To me it is an impasse and need time extension till 30/4. SM seems to have upper hand to force an extra time else deal would have closed according to planned. Seem to be same structure though: NewCO to be formed. KOM and SM converted to Newco shares. KC hold shares and distribute to shh. SM shh gets shares conversion, determined by a pre destined ratio which is the crux of the entire exercise.
