Simply stated, will each SM share be value at 10 cents or 12 cents etc. This is the million dollar question which depends on the bargaining power of the two companies. To me, anything below NAV of 12.5 cents is indecent and exploitative. In practice,SM should be worth at least 1 times bookvalue. All kitchen sink shall be consolidated in newco, spanners and nails. $500 will be taken from The consolidated cash. BUT this is some time back when oil was like more than half the price now. The parameters might have shifted to SM advantage. There will not be a repeat of SCI debacle. x 0   x 0  Alert Admin	Frankly, the reason why KOM asked for $500m cash is because SM cash balance was very weak after she used almost all her money from the Rights issue to bail out SCI, almost $2.4b if I can recall. Now SM has $1.1b cash and pose to rise with more deliveries, so the requirement for $500m is already fulfilled subtly through the merger.
