x 0   x 0  Alert Admin	UMS makes mandatory unconditional offer for JEP at S$0.20 per share THU, APR 22, 2021 - 11:03 AM MAINBOARD-LISTED precision engineering firm UMS Holdings on Wednesday acquired another 13.1 per cent of shares in Catalist-listed JEP Holdings. UMS acquired 54.2 million shares for S$10.8 million, or at S$0.20 per share, from JEP executive director Zee Hoong Huay. The deal raises UMS' s stake in JEP to 53.8 per cent, or 222.6 million shares. This is the highest price UMS has paid for JEP' s ordinary shares in the last six months. (see amendment note) UMS directors believe the offer will help UMS diversify beyond its traditional semiconductor business and to broaden its earnings stream. The company said it may explore business synergies with JEP and tap into growth opportunities in new markets. UMS also said it intends to preserve the listing status of JEP, but that it will assess further options if the public float falls below 10 per cent. Then he shelfed the idea for some time due to the industry uncertainty. Then he revived it later after he sensed the industry is coming back. . He bought into JEP instead of starting aerosonic in UMS because he thought that was the faster way, and the boss was his personal friend. Soon friend turned to be no more friends after some internal disputes, as Luong was in disagreement over the way the company was run. His friend was ousted and he took over the reign personally. When asked if there was too much on his plate at an AGM, Luong replied he treated JEP as just part of UMS portfolio, and hinted eventually it would be part of UMS family. Then some China guy entered into the shareholding. And things get complicated and UMS shareholders left things as that, and expected the two companies to remain separate for some time. But last two years Luong has been buying more JEP in the open market, with increased intensity in late last year and beginning this year. Market didn' t expect him to do a coup with Zee. But Luong is known to be a shrewd...and ruthless.. guy. in the long run, IMO, it will be good for UMS. JEP was not doing well at the beginning but he managed to turn it around. At an AGM, he expressed his hope that he will be able to award JEP shareholders the same way he managed to do it at UMS.. I.e. 4 times dividends a year. x 0   x 0  Alert Admin	Win-win for UMS and JEP .............. upon completion of purchase from the vendor, UMS will own 53.79% of JEP thus becoming a subsidiary (instead of associate when ownership is less than 50% where only equity-accounting is done) of UMS and  from (profit-consolidation) accounting stand-point, it is a positive development. Of course, from a decision-making within JEP .... it will be easier too .... esp now for UMS to maximise value and leverage their ownership/investment in JEP by passing on biz to them
