You are correct, 2 loss making co wouldn' t make it profitable. But it would be far even more worst to stay seperate as 2.  Because there is no econmy of scale...that is far worst IMHO. At least when merged, the probability of becoming profitabel becomes higher...IMHO  ![]()

And the demerger, just look at the impact on SMM sh. Don' t forget the 0.2 rights. There' s a lot of $ involved. SMM was at around 0.6x. Instead of the theoretical 0.3, it is less than 50% now. No impact?

Yes share swap is the only way I could think of. In fact I said that a few weeks ago. But 2 loss making co merging into one won' t make it profitable. But anyway that is merger. Not acquisition. The discussion stems from it will be an acquisition and not merger.

Just look at how the 2 Capitaland Reits/Trusts merged....no cash involved....just shares exchange. SCI Demerged from SM...no cash involved just equity exchange...This demerger exercise is really out of every other' s mind....no one gurus or Pro expected it to come. But it come to pass... |

One of the likely scenairo is KC will split and disown O& M. SMM will issue share to bring KC O& M onboard. Name of the new Co will be Singapore O& M. :) | ||||

Merger doesn' t need cash. It can be all merger by issuing shares. There are many ways to merger. Not just cash options only.  | ||||

I also dun think SMM is able to do so. If that' s the case, unthinkable to have any merger/acquisition whatsoever. At least not in the foreseeable future.

That was what I read a couple of months ago that it would be more logical to do so. But is SMM capable of doing that financially at this point? The last thing SMM SHs need now is another equity raising exercise. It makes no sense cause KOM is still a $ losing company at this point. 2 loss making co' s don' t make a profitable one. ![]()

Mr Chua, currently the chief executive officer of Keppel DC Reit Management, has extensive experience in the real estate fund management and hospitality industries, including M& A (mergers and acquisitions) and will drive Keppel' s sharpened and more disciplined M& A strategy, said the company in a statement. Keppel has earlier said that its offshore and marine unit, hit by the pandemic-led oil slump, was under a strategic review where " all options, both organic and inorganic" were being considered. That plus the leadership changes at Keppel, chiefly including an individual dedicated to drive M& A, could once again fuel speculation of a mega merger between the two giant rig builders Keppel Offshore & Marine and Sembmarine - a long-anticipated and hoped for but yet to happen consolidation. " In the current climate - rising competition and downturn - I don' t see these two companies ending up standing alone forever. It is not unreasonable for the market to read it (Keppel' s latest appointment) as one with an eye on industry consolidation," said a market watcher. He added: " But it takes two hands to clap.
