Let's put some numbers into perspective. $144million of sales in china, if say average spending per person in china is sgd$600 a month(probably average in SG by experience), so per year is $7200. $144mil / 7.2k = 20000 members in China, divide by the numbers of franchises, it's about 600 users in each franchise on avg. 600 is no astronomical figure, or is it? It is quite funny to say easy money earned, how easy can it be after spending 28years in the business, 15years in China to earn that kind of money? How many 28years u have in your lifetime? Now they are controlling with the franchise agreement which is renewable on year on year basis. Profit increase is inevitable as they are doing away with intermediaries and now doing it themselves. With the same amount of users, and growing numbers, it will be a surprise if profit is even lower, no? Yes understanding the franchise model is the Crux. Franchise model in general is no issue, besides they have already license to do franchising. The Company had obtained legal advice from its legal counsel, one of the largest law firms in China, confirming (a) that the operation of the Franchise Model is lawful, (b) that the Group has obtained all material licences for the conduct of such operations in China, and (c) the business of the Group under the Export Model and Franchise Model did not and do not constitute direct selling activities in China. Rationale for Transition to Franchise Model Since the Group?s entry into the China market through the Export Model, the Group had been exploring various options to evolve its business model to improve efficiency, enhance earnings and generate returns for shareholders. The Group considered transitioning the Export Model to the Direct Selling Model in China, which would require the expansion of the coverage of the Group?s direct selling licences, as well as establishing service outlets in every district of every city in which the Products are distributed due to legal requirements relating to direct selling in China. This was considered inefficient, costly and may inevitably lead to market competition between the Company and the existing primary distributors. After careful evaluation of the different options and in consideration of market factors and the competitive landscape in China, the Group decided to transition to the Franchise Model in China. The Franchise Model would allow a more seamless integration with the Group?s existing network of primary distributors under the Export Model, which would allow the Group to leverage on the growth momentum already achieved in China. In addition, given the population size and geographic expanse of the China market, the Group believed that the Franchise Model would enable the Group to effectively establish a physical presence in several locations across China through close collaborations with the Franchisees. "

Their organic business is cash accretive. They declared dividends since ipo. The two ladies may be drawing multi millions as salaries. If the business is not generating cash, where did the money come from? The only solution is to take this company private and re-list in HK. Sgx is too small a pond with many petty predators. Bw is not appreciated here. Move it elsewhere. This will answer all queries as re listing requires prospectus and underwriter. I am sure this will put all doubts to bed.

What ever models you are practicing may not be perfect one and improvement is needed or find tune to suit based on policy changes or regulator requirement and etc.    If the model adopted is not sustainable, it does not the end of business. Surely, others could have tried it before and failed miserably. The huge benefit that BW derived from it is that this scheme provided it with the necessary cover n opaqueness that it required to successfully carried it out.  Many investors are easily misled n blinded by the smell of profits.
