Advanced Holdings have further updated in a corrigendum that after the proposed acquisition that (a) total debt = $35.101m (vs $11.479m now) (b) total equity = $38.286m (vs $68.419m now) (c) gearing ratio = 0.92 (vs 0.17 now). It is also not made known for how long do Agicore Global entitled to hold those land development rights, the compensation cost per hectare and the existing development stage of their plantations. Obviously, it takes time to plant and grow the palm trees for yields to come. The proposed acquisition does not seem to be too attractive to existing shareholders. (at least not in the short term).

A RTO deal to turn the company into a crude palm oil plantation company has finally been proposed after 8 months of negotiation. The terms are slightly different from those announced earlier in Jan. The final acquisition price is now $147m, lower than the initial suggested purchase consideration of $180 to 240m.  In Jan, it was said the target assets have a land permit area of 232,102 hectares. This time, the target owns rights to develop only 196,121 hectares of plantation land. The Target Group has since commenced land compensation of 3,314 hectares and planting on 226 hectares. The purchase consideration will be satisified by $30m in cash and the remaining 117m by the issue and allotment of 234m new ordinary shares at $0.50 per share. Upon completion, the Target Group will own a 69.79% stake in the new company. The proposed acquisition still needs approval from SGX and Advanced&rsquo s shareholders at an EGM. It also carries with it other conditions, including a &ldquo whitewash waiver&rdquo from SIC to make a mandatory general offer. In other words, the proposal is still far from certain and existing shareholders will not enjoy an exit offer at $0.50. For FY16, the Target Group recorded a net loss of $3,417,000 and a negative net book value and net NTA. It looks like shareholders have to be patient for a turnaround.   |

$0.38,      2.5 cents for a 7% gain. A  rare appearance on the top% gainer list. Long term chart looks interesting. Almost 3 months have passed since the announcement of the non-binding reverse-takeover bid by Agricole Global. No sound no news. |

Thanks bro for the analysis below. I think the key question will be on the value of the asset. For Jaya, the purchase consideration is $150M in 2015, whereas for Advance, the value of the asset is from $180M. The area of consideration under Jaya deal is 263,000 hectares whereas for Advance is 232,102 hectares. For Jaya, it' s purely paid by issuing new shares, whereas for Advance ... it involves cash. It seems that Jaya has much better deal. Maybe the land price or palm oil price has gone up ...

Bro Edwin, please note that the proposed deal is a reverse takeover, and if successful, Dr Wong Kar Wong and Dr Choo Boy Lee Emily will end up holding only minority interests and losing control of the company. Advanced do not have the $200m to spend to acquire business of their liking.

Feel not worth it...lol..i will.prefer they spend their $200m buy some good value.company listed in sgx....rather then buy some.platation that dont know.good or.bad......die die.must ask the seller provide.some.profut gurantee for adv....orelse. dont wan approve.
