In my opinion, this is an opportunistic low offer. I think Vard has made much headway in cutting cost, restructuring and optimising the yards, and expanded its product range. There is more upside than downside for this given where we are in the oil cycle. I will not be accepting the offer and I urge everyone consider carefully. Some facts about the offer just to clear up any misunderstandings within this thread: 1. Price is not final. It is possible that Fincantieri will increase the price after a few days of trading to see where the market price lands. This is a tactic to make you feel good but possible it has been planned all along. 2. This is a voluntary conditional cash offer. This means that there is no EGM to vote. If you are not happy with the offer, just do nothing. The condition is Fincantieri must attain 90% of shares. It can and it may buy on the market. 3. To achieve compulsory acquisition and delist the company, Fincantieri needs 90% of shares it does not already own. Fincantieri now holds 55.63%. So this means it needs 90%*(100%-55.63%)+55.63% = 95.56% before delisting starts. However, SGX requires a min 10% free float, therefore if Fincantieri achieves 90%, it will likely suspend the stock and proceed to launch a delisting attempt, likely at the same price, to squeeze minorities out. |

Then you will become a shareholder of an unlisted, public company. You will still be entitled to attend their AGM, and they will send you a personal invitation via post.

what will happen to the shares if the s/holder did not take up the offer, and it was approved in the EGM that the company will be delisted. |

My guess is, if cannot achieve compulsory acquisition, Fincentieri are confident of getting at least 75% shares, and then go for an EGM to delist the company from the SGX. |

It is to their benefit to get the takeover done as quick as possible on their terms, if you reach the announcement. Btw my vested interest is well below 20 cents, but i want to get the maximum value out of it, as well as the SHS here |

Why not? what is the rush/hurry for them to take over private as anyway they are the major shareholder.. they seems to be testing the water...but i dont think they are desperate..

i still havent sold even the price crossed 24c...but if it goes above 25c i will sell... because if the offer goes thru 24c... if it doesnt go thru will be below 20c again... fincanteri can wait longer since they are the major shareholder...i may not be able to wait..:-)

i think yes, because is business is making profits...and china is hungry and i dont think they will make offer like fincanteri... so my call is 20c-40c if no offer it may go back go 1.8...thats the downside..but its still running a good business and profits...and now generated some interests... i bought at 2$..

I' m also into GLP. Besides that, I' m vested in agri stocks too, playing on the current bullish CPO px. Problem is CPO rally might not be sustained, so am watching very carefully.
