I hate odd lots as well.
That' s why I' m more inclined to exit both MNACT and ALOG before both mergers take effect.

Actually difference between (1) and (3) is not really a lot
If don' t wish to end up with odd lots
And of the opinion that die die the merger will succeed
Can consider buying MCT shares instead

lol is this a competition of who can use bigger fonts?
Given the market price of MCT post announcement, I think the market agrees with those, including myself, that this is a bad deal. I will vote no when it comes.  |

It' s the selling in MCT that caused MNACT' s share price to tumble in tandem to meet the exchange ratio set in the merger terms.

The rates are already fixed and does not change regardless what happens to the trading prices of both counters.

Any sensei or sifu could advise this?
" The consideration will be made up of either 0.5963 new MCT units at an issue price of $2.0039 per MNACT unit, or a combination of 0.5009 new units in MCT and 19.12 cents in cash."
Now MCT is trading around $1.90, does it mean MNACT shareholders will get more units (instead of 0.5963) now to achieve $2.0039 or MPACT will be introduced at $2.0039 on first day of trading and 0.5963 new MCT units is fixed?
Thanks! |

Does this mean investors think MCT is Not Worth the $2 merger price?
So MNACT investors are getting a raw deal just like the ESR-ALOG deal ?

" On a pro forma basis, the merger will be 8.9 per cent accretive to distribution per unit (DPU) and 6.5 per cent accretive to NAV for MCT unitholders."

NAC is definitely better of. someone please check my math.
assuming I invested $10K before the merger,
- NAC -
- at $1.11 per share, I would have gotten 9009 shares the offer is 1.1949, so I would have earned (on paper) $764.86
- 9009 NAC x 0.5963 = 5372 MCT shares assuming share price NAC = 1.11, MCT share price 2.0 (last traded price), and trailing annual dividend yield NAC is 6.04% MCT is 4.85% (Source: Yahoo Finance) NAC would have a div of $604, MCT would have $521
- gross gain NAC = $764.86 - (604-521) = 681.86
- MCT
- at $2 per share, I would have gotten 5000 shares div after merger is 8.9%, so an increase of 4.05% from training annual dividend yield. So net gain = 5000 x 2 x 4.05% = $405
- The fees will change from 0.25% total assets + 4% net NPI to 10% distributable income + 25% YOY growth in DPU. From last annual report, MCT paid total of 37,6M as management fees in the new fees structure, assuming the same annual report the management fees would be, (314.7M distributable income x 10%) + ((9.49 - (9.49/1.186)) YOY DPU growth x 3.3M issued units = 36.4M

MNAT TTM Dividend is 6.725 cts. Based on conversion ratio of 0.5963, the converted MCT shares will need to have dividend of 11.28 cts to match the current dividend recived by MNAT shareholders.
Even with 8.9% dpu accretion, it will not reach the breakeven 11.28 cts after conversion.
For MCT, very straightforward, its DPU will grow by about 8.9% after the merger. Good deal.
PS. I hold both MCT and MNAT shares. |

Different schedule of collections?
I am not concerned about that because they will pay the dividend of each prior to the merger. (Clean-up)

MCT pays another Quarterly Div in Mar 2022 while MNACT pays only half-yearly in Jun 2022.
How will this affect existing MNACT unitholders?   |

I' m a MNACT unitholder so u can read my grievances in MNACT thread.
I' m also a ARA Logos unitholder, so more grievances in that thread as well.
It' s now clear that the smaller party in M& A always get the shorter end of the stick !!

Looking at the heart-breaking ESR-ARA Logos proposed merger as an example, I think MNACT unitholders will NOT get a great opportunity to exit the counter as well !!!!

If 1 + 1 > 2, then good lor.
Anyway, I vote yes or no also won' t move the needle.
AGM stil months away. What if MCT drops but MNACT goes up? Or the other way round? Or their prices are going to be dead still now, much like CMT/CCT back then?

Starship ( Date: 31-Dec-2021 11:27) Posted:
MNACT pays 6.06% div while MCT pays only 4.86%.
Reit/Trust investors' key consideration is Dividend Yield.
Also, I remember a forumer posted that MNACT is trading at below NAV while MCT is above NAV.
So this merger definitely short-changed MNACT shareholders!!!!!     |

It' s quite clear now that all these M& As always short-change the smaller counter.
Just look at the ESR- ARA Logos merger.
