· Details of the offer
CapitaLand (CAPL) today (14/04/2014) announced a voluntary, all-cash offer of S$2.22/share for all outstanding CMA shares (34.7%), with the offer price representing a 27% premium to 30-day VWAP of S$1.748/share, a 21% premium to last NTA of S$1.84/share and a 25% discount against our RNAV estimate of S$2.95/share. The offer is conditional upon CapitaLand receiving a minimum 90% acceptance for CMA& rsquo s shares, with CAPL proposing to fund the offer through a combination of internal cash (S$2.8billion) and incremental debt (S$0.26billion). CMA' s HK listing status will also be delisted upon completion of the offer. The SGX has opined that no shareholder approval will be required as & ldquo there will be no material change in the risk profile of the CapitaLand Group arising from the Offer& rdquo . The earliest closing date permitted under the Takeover Code would be in end May / early June.

CapitaLand (CAPL SP OW S$2.92) launched a conditional all cash offer for CapitaMalls Asia (CMA SP OW S$1.81) at S$2.22/share to privatize the group, in a bid to simplify the group&rsquo s organizational structure and to deploy the surplus capital. We believe the offer price is fair for CMA. For CapitaLand, the transaction will not be all accretive financially - headline earnings and ROE accretive but book and operating earnings dilutive. That said, the technicalities of the transaction will see a reduction of &lsquo total group-wide equity base&rsquo and therefore be a potential &lsquo squeeze&rsquo on CapitaLand shares.   · Details of the offer

· Part II Simplifying the group structure is a key focus Management stressed the point of simplifying the group structure and having a clean sheet going forward during the analyst briefing, and believed that the privatization of CMA makes more business sense, especially in the long run, versus a straight capital reduction at the group level given potentially better cash flow management and cost synergies. No change to CMA&rsquo s strategy, including views on capital recycling, is expected at this point. Management also highlighted that the AustraLand sale, which generated close to S$1.5billion proceeds in total, was a key funding pre-requisite for the CMA offer. In addition, the group is comfortable with the balance sheet post transaction citing all capex having been funded, although no target gearing was given.
 
· Working through the numbers
Management has guided for 21.5% EPS accretion and 1.3 percentage point ROE improvements against pro-forma FY13 numbers, noting that FY13 numbers would include contributions from AustraLand as well. Should both transactions be factored in, we estimate a 17% increase in headline earnings, a 1.1 percentage ROE improvement, but a 5% dilution to operating earnings and 3.6% dilution to book. Given the privatization of CMA is at S$2.22/share, or at 25% discount to our CMA RNAV estimates, we could see a potential 4.5% uplift to our CapitaLand RNAV estimates.
Technical Analysis
· A move trying to &lsquo squeeze&rsquo shareholders into CapitaLand shares? 
We believe that one of the reasons behind this privatization exercise is also to shrink the &lsquo total group-wide equity base&rsquo and to potentially &lsquo squeeze&rsquo some of the interest into CapitaLand and end the debate on which entity to own within the group. We estimate that should the privatization go through, CMA will contribute to 44% of the group&rsquo s RNAV on our estimates, increasing from the current 36%. Whilst we do like the group pre-transaction for its core earnings growth profile and undemanding valuation, which will remain largely intact post the transaction, we are mindful of the transaction not being financially accretive on all fronts. you know how stupid you sound? i shorted at 2.94, covered at 2.95 when it briefly retreated last week...i accept my mistake and move on..i' ve made money by longing NOL at 0.98, in the money now, also longed ezion at 2.10..in the money also...in trading, you can never be right 100% of the time right, everyone knows that. it is precisely now that this counter is so bullish that there is no reason to short..maybe a time to short may come again, but def not now.. this is a sharing forum, and i have no incentive to lie about my trades..if i never cover and lose money until now, then so be it, nothing to hide right.. i normally wish everyone on this forum the best of luck with their trades, but for you, i hope you lose big one day, teach you to shut your mouth..cheers.

Besides the strategic and operational benefits of a more streamlined and integrated platform, we think the key positive is the potential removal of CapLand' s holding company discount. Shares of CapitaMalls surge 22% after offer from CapitaLand
 
 
CapitaMalls shares hit as high as S$2.21, the highest in about 14 months. Nearly 99 million shares were traded, almost 10 times its average full-day volume over the past 30 days. CapitaLand shares jumped 5.1 per cent. CapitaLand said on Monday it had offered S$2.22 per share for CapitaMalls, in which it already owns 65 percent. The S$3.06 billion (US$2.45 billion) deal is aimed at simplifying CapitaLand' s corporate structure and taking advantage of a discount valuation at CapitaMalls. " We see this delisting as a rational move representing low hanging fruit for earnings and ROE (return on equity) growth," OCBC Investment Research said in a report. The deal allows CapitaLand management to deploy significant capital to assets in CapitaMalls and contribute to earnings, OCBC said, raising its target price on CapitaLand to S$3.79 from S$3.50 and maintaining its " buy" rating. - Reuters   |
